Update on Funding Discussions and Proposed Board Changes
GS Chain Plc, a UK company admitted to the Equity Shares (Shell Companies) category of the Official List of the Financial Conduct Authority (the “Official List”) and to the main market of the London Stock Exchange (“Main Market”), is pleased to provide an update on ongoing discussions regarding potential new funding arrangements and the anticipated evolution of its Board of Directors.
Financial Position and Proposed Funding
The Company is actively engaged in discussions with potential financing parties, including two of its principal shareholders, with a view to securing a significant near-term refinancing.
The proposed funding is intended to strengthen the Company's financial position, address its outstanding financial obligations and provide a more stable foundation for its future activities.
While the Company continues to face material financial constraints, the Board is focused on progressing these discussions and securing the financial resources necessary to support the Company's next phase of development.
Discussions remain ongoing, and there can be no certainty at this stage that the proposed refinancing will be completed.
Convertible Loan Note
It is envisaged that a convertible loan note (CLN) structure, subject to the customary corporate approvals and protections, will be put in place to facilitate the new funding arrangements. The market will be kept informed of the material terms of any new financing instruments in due course.
Proposed Board Changes
Alongside the ongoing funding discussions, the Company is progressing plans to strengthen and refresh its Board of Directors.
Chief Executive Officer Paul Carroll has agreed to resign from the Board to focus on his other projects. New Board members are expected to join the Company shortly.
The proposed appointments are intended to bring additional experience and leadership to the Company as it works towards strengthening its financial position and advancing its strategic objectives.
Prospective directors are completing the necessary due diligence and appointment procedures, with any appointments remaining subject to the relevant approvals.
The Company looks forward to providing further details as these arrangements are finalised.
Outlook
The Board remains focused on resolving the Company's outstanding financial obligations, securing additional funding and establishing an appropriate leadership structure to support its future development.
The Company will provide further updates to the market as material developments occur.
