Update on Requisition from Saba

Summary by AI BETAClose X

Gore Street Energy Storage Fund plc announced that while its legal advice indicates no obligation to present Saba Capital Management's proposed resolutions as drafted, the Board will accommodate them at the Annual General Meeting on September 16, 2026, for transparency. These resolutions propose the company cease to exist as an investment company and subsequently be wound up, liquidated, reorganized, or unitized. The Board unanimously recommends shareholders vote against these resolutions, believing its current strategy, detailed on March 17, 2026, is in the best interest of shareholders and offers a continuation vote if key performance indicators are not met.

Update on Requisition from Saba

The Board announced on 30 July 2026 it had received a requisition notice submitted on behalf of Saba Capital Management, L.P. ("Saba") and as outlined at that time, the requisition was being evaluated.

The Company's legal advice is that it is not obliged to put the proposed resolutions, as drafted, forward. Nevertheless, in the interest of complete transparency, the Board has determined to accommodate their inclusion in the upcoming Annual General Meeting on 16 September 2026.

The two requisitioned resolutions contained in the notice from Saba are set out below:

Ordinary Resolution

1.         THAT the Company shall not continue in existence as an investment company.

Special Resolution

2.         THAT, if Resolution 1 is passed, then within 3 months the directors of the Company shall put forward proposals to the members of the Company to the effect that the Company be wound up, liquidated, reorganised or unitised.

The Board continues to strongly believe that the strategy detailed on 17 March 2026 with its clear Key Performance Indicators ("KPIs") remains in the best interests of delivering maximum value to Shareholders. It is further noted that the Board has already committed to providing a continuation vote should any of the KPIs not be met.

A comprehensive explanation of the Board's unanimous position recommending that Shareholders vote against the requisitioned resolutions at this time will be communicated to all Shareholders in due course.
