Golden Rock Global plc, ("LSE:GCG" or the "Company") a Jersey registered company admitted to the Equity shares (shell companies) category of the Official List of the Financial Conduct Authority (the "Official List") and to the main market of the London Stock Exchange plc (the "Main Market") is pleased to provide an update on progress with its proposed acquisition of SSS Matrix Corp. ("SSSM") (the "Proposed Acquisition") as referred to in the Company's announcements of 22nd January 2026 and 23rd June 2026.

Corporate Restructuring

SSSM has concluded a corporate restructuring with the objective of streamlining its core business operations and which has also included a rebranding, to better align its name and strategy. Following completion of the restructuring, SSSM is now operating as StarEdge Digital Infrastructure Inc, ("SEDI").

SEDI's Business

SEDI is a technology business with a focus on addressing the challenges presented by today's rapidly growing, AI-driven computing demands. Specifically, its products and technology seek to optimize both energy usage and computing power in traditional and new datacenters.

Datacenters are SEDI's principal customer base, which SEDI's management team believe are increasingly struggling to meet the global challenges of AI-capable server sourcing, quantum security threats and escalating energy needs.

SEDI has several revenue streams, principally being (i) procurement of hardware and software for datacenters to improve quantum security, energy usage and computing power; (ii) sales, leasing and installation of servers; (iii) servicing and maintenance of installed hardware; and (iv) quantum chip sales.

The Proposed Transaction is subject to the execution of a definitive share purchase agreement, satisfactory completion of customary due diligence and publication of a prospectus.

The Company expects to appoint a Sponsor shortly and will make further announcements in due course.
