Completion of Additional Fundraise to increase aggregate equity raise to £2m

 

Georgina Energy plc (LSE: GEX), is pleased to announce that it has, in addition to the £1.5m equity raise announced on 31 July 2026 (the "July Raise"), successfully raised a further £500,000 through the issue of 5,555,556 new ordinary shares on the same terms as the July Raise (the "Additional Raise").  The Additional Raise has been subscribed for by one institutional investor introduced by Fortified Securities.

The Company will issue the investor participating in the Additional Raise with one warrant per one placing share at an exercise price of 10 pence expiring 5 years from Admission ("Investor Warrants").

The net proceeds of the Additional Raise will primarily be to advance the work programmes and for general working capital, with the additional capital enabling an acceleration of the programmes originally being fully funded by the July Raise.   

The Company will issue 333,333 Broker Warrants to Fortified Securities exercisable at 9 pence and expiring five years from the date of Admission.

 

Admission and Total Voting Rights

An application has been made for 5,555,556 new ordinary shares of 1 pence par value to trading on the Equity (transition) category of the Official List and the London Stock Exchange from 8.00 a.m. on 7 August 2026 ("Admission").

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms that following Admission, the Company's enlarged share capital will comprise 260,261,707 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the above figure may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.
