Update on investment in HUGO BOSS
On 18 August 2026, Frasers Group plc (Frasers) announced that, following the expiry of the acceptance period for its voluntary public takeover offer to acquire all of the ordinary no-par value registered shares (HUGO BOSS Shares) in HUGO BOSS AG (HUGO BOSS) not directly held by Frasers (the Offer), Frasers' direct shareholding in HUGO BOSS had increased to 33,054,959 HUGO BOSS Shares, corresponding to 47.89% of the share capital and voting rights of HUGO BOSS.
Frasers' current intention is to further increase its interest in HUGO BOSS, including through the potential acquisition of additional HUGO BOSS shares, with the objective of taking an interest in excess of 50.00% of the share capital and voting rights of HUGO BOSS.
There can be no certainty as to whether, when, or at what price any such acquisitions will be made, or that this objective will be achieved. Frasers may also continue to acquire or dispose of investments in HUGO BOSS, including but not limited to shares, options, derivatives or other financial instruments the price of which is referenced to, or provides economic exposure to, HUGO BOSS Shares.
Related to its investment in HUGO BOSS and in response to recent market speculation, Frasers is currently reviewing whether it continues to support Mr. Stephan Sturm in his position as the Chairman of the Supervisory Board of HUGO BOSS. If Frasers were to cease to support Mr. Sturm, it would publish an intention statement in accordance with Section 43 para. 1 sentence 1 WpHG (the German Securities Trading Act).
Frasers will comply with the applicable regulatory requirements relating to any further investment in HUGO BOSS, including any voting rights notifications or other disclosure requirements, as and when appropriate.
