Directorate changes - Appointment of new Chief Financial Officer and appointment of Group Delivery Director

Franchise Brands plc (AIM: FRAN), a platform of international B2B franchise brands focused on essential services through a mobile workforce is pleased to announce the appointment of Neil Miller as a Director of the Company and as Chief Financial Officer (CFO) with effect from 26 May 2026 and the appointment of Andrew Mallows as Group Delivery Director.

Neil Miller is an experienced CFO with 30 years' experience across listed, Private Equity and blue-chip multinational businesses spanning industrial and manufacturing sectors and FMCG. He has a proven track record of delivering transformational change in finance functions combined with strong commercial discipline, with a focus on driving value for stakeholders.  Most recently he was Group CFO of Praesidiad, a PE-backed global security solutions group and, prior to that, Group CFO of Scott Bader, an employee-owned global manufacturer.  He also has FTSE100/250 public markets experience from senior finance roles at DS Smith and De La Rue, which built on his previous finance experience at Diageo and Mars.

Andrew Mallows, who has held the role of CFO since June 2024, is appointed to the newly created role of Group Delivery Director and will step down as a Director of the Company and from the Board on 26 May 2026. In 2024, the Board took the decision to combine Andrew's commercial and financial experience to strengthen the leadership of the finance team whilst also providing more focus on the integration of Pirtek and Filta with the Water & Waste Services division. Since then, the Group has made significant progress with the implementation of the One Franchise Brands strategic initiative, in particular the roll out of Group-wide IT systems, including the NetSuite global finance system. This is enhancing efficiency across the Group and expanding revenue streams.

The Group's focus is now on completing the integration of the Group and delivering to shareholders the full benefits of that integration, in particular from the Group-wide IT platform. This will be a key factor in driving operational gearing and the Board is of the view the optimal way for this to be delivered now is to have a clear focus on finance and on commercially focused delivery. With a combination of Neil and Andrew's experience and expertise, the Group is very well set to achieve this.

Stephen Hemsley, Executive Chairman, commented:

"I am delighted we have attracted a new CFO of Neil Miller's calibre. One of Franchise Brands' key strategic priorities is to capitalise on the two-year long, multi-million-pound, investment we have made in IT and integrating our three significant acquisitions. The appointment of a new CFO with a strong background in value creation and finance transformation will provide experience and focus in this area, whilst allowing Andrew to drive the more commercial benefits of Group-wide integration. Together with the broader leadership team, Neil and Andrew will play a key role in completing and realising the benefits of our B2B franchise platform which will be the cornerstone of our future organic and acquisitive growth."
