Foresight Solar Fund Limited ("Foresight" or the "Company")

In conformity with the FCA's Disclosure and Transparency Rules, we would like to notify the market of the following:

As at 31 October 2014 Foresight's issued share capital consisted of 208,000,000 Ordinary Shares of no par value each with voting rights. The Company does not hold any shares in Treasury.

The figure of 208,000,000 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
