Folio Treasury Limited (company number 12367949) (Borrower) on 30 September 2026 disposed of 231,294 Ordinary Shares of £1 each in Folio Bakersfield Limited (company number 12747268) (Folio Subsidiary) being 100% of the issued share capital in the Folio Subsidiary to Notting Hill Genesis (registration number 7746), the ultimate parent entity of the Borrower (Disposal). A subsequent announcement in relation to the application of the proceeds from the Disposal will follow in due course.

Further to the Disposal, the Borrower and Folio Residential Finance No.1 PLC (company number 12677623) (Issuer) have, amongst others, entered into a modification letter in relation to the relevant Bond documents, specifically the security trust and intercreditor deed originally entered into on 5 October 2020 (and as modified on 3 August 2026), to effect a technical amendment to the Issuer/Borrower Facility Agreement to the definition of 'Relevant Amount' insofar as it relates to the Disposal only.
