Folio Treasury Limited (company number 12367949) (Borrower) on 19 January 2026 disposed of 247,784 Ordinary Shares of £1 each in Folio Sterling Place Limited (company number 12747715) (Folio Subsidiary) being 100% of the issued share capital in the Folio Subsidiary to Folio London Limited (06091982) (Folio London) being an indirect controlling entity of the Borrower (Folio Subsidiary Disposal).

Folio Buildings Limited (company number 12368281) (Folio Buildings) being a wholly owned subsidiary of the Borrower on 19 January 2026 disposed of certain properties to Folio London (Folio Buildings Disposal).

In substitution for the assets disposed of as part of the Folio Subsidiary Disposal and Folio Buildings Disposal and in application of the proceeds from each of the disposals and the disposal of Folio St James Limited effected on 31 October 2025, two newly incorporated subsidiaries of the Borrower for the purposes of the Bond and the acquisitions being (1) Folio Oakland Rise Limited (company number 16767403) and (2) Folio Fresh Wharf Limited (company number 16767887) each acquired certain properties from Folio London and acceded to the relevant Bond documents on 19 January 2026.
