FIH group plc, the AIM quoted international specialist services group with businesses in the Falkland Islands and UK, is holding its Annual General Meeting (“AGM”) today.

At the meeting, the Chairman, Nick Henry, will make the following statement:

“On behalf of the board, I am delighted to welcome shareholders to the FIH AGM.

Performance for the Year Ended 31 March 2026

The year ended 31 March 2026 was one of strategic activity for the Group. Whilst trading conditions remained challenging for the Falkland Islands Company (“FIC”) and Momart, the period was marked by decisive portfolio management which has delivered substantial value for the Group.

The sale and leaseback of Momart’s warehousing facilities in Leyton and the sale of Portsmouth Harbour Ferry Company (“PHFC”) were both completed during the year returning £22.5 million before corporation tax, after the repayment of the mortgage on the warehouse, the sale of the associated interest rate swap and transaction costs. £13.8 million (110 pence per share) of this has been returned to shareholders as special dividends, £5.0 million (40 pence per share) of which was distributed after year end.

In addition to the distributions totalling 110 pence per share noted above, an interim dividend of 1.25 pence per share was paid on 13th February 2026 and a final dividend of 5.5 pence per share will be proposed at today’s Annual General Meeting. This would take the total regular dividend for the year to 6.75 pence per share (2025: 6.75 pence per share).

Post Year End Performance

Trading in FIC continues to be challenging, particularly for FBS, FIC’s housing and construction division, and Retail.

In FBS, good progress continues to be made on the contract to build 70 houses for the Falkland Islands Government (“FIG”) and the Ministry of Defence (“MOD”). All 30 houses for FIG were handed over in the prior year and the remaining 14 of the 40 houses for the MOD are on course for completion in the first half of the current financial year. Workload remains a key issue for FBS and management are mindful of the cost base and the need to flex with demand.

Demand for accommodation in the Falkland Islands remains strong and FIC continues to explore options to develop its land assets, particularly the expansion of the existing rental portfolio.

Focus in Retail is on delivering a more relevant range of products and improving customer engagement, as well as delivering process and procurement efficiencies.

More generally, the FIC management team is focused on delivering a programme of improvement across all areas of the business and on maximising opportunities for growth.

Subsequent to the year end, the Company announced that it had exchanged conditional contracts for the sale of Momart for a cash consideration of £7.6 million. Disposal was conditional on shareholders’ approval which was obtained at a general meeting on 28th August 2026. Completion is targeted for 30th September 2026.

Trading conditions for Momart remain challenging, but are being mitigated by a continued focus on client relationships and business development, as well as on process efficiency.

Outlook and Strategy

The disposal transactions noted above represent significant progress in the Board’s commitment to maximising shareholder value.

Following completion of the disposal of Momart, the Board’s focus will be directed exclusively towards supporting FIC in delivering improved operational and financial performance, whilst continuing to evaluate all options available to maximise shareholder value. The latter also includes ensuring that there is a proportionate and cost-effective central overhead structure in place to support the ongoing activities of the Group.”
