Notice of 2026 Annual General Meeting

 

Ferrexpo plc (LSE: FXPO), a producer and exporter of premium iron ore products, today announces that it has published the following documents:

·      The Notice of 2026 Annual General Meeting ("AGM") to be held on 29 June 2026; and

·      Form of Proxy.

The Notice of 2026 AGM is available to view on the Group's website at www.ferrexpo.com.

In accordance with 6.4.1 and 6.4.3 of the UK Listing Rules and 6.3.5 of the Disclosure and Transparency Rules, a copy of the Notice of 2026 AGM has been uploaded to the National Storage Mechanism and will shortly be available in unedited full text at https://data.fca.org.uk/#/nsm/nationalstoragemechanism

 

As announced on 28 April 2026, as a result of the delay to the Intended Fundraise (as defined in such announcement) and given the dependency on completing the bookbuild in order to conclude the financial statements for the year ended 31 December 2025 on a going concern basis, the Company was not in a position to publish its audited financial results for the year ended 31 December 2025 by 30 April 2026, being the final date allowed for publication under DTR 4.1.3R.  The Company continues to work towards publication of the Group's 2025 Annual Report and Accounts but is not yet in a position to do so.

 

Given the delay to the publication of the Group's 2025 Annual Report and Accounts, certain resolutions relating to the Annual Report and Accounts, the re-appointment and remuneration of the Group's auditor, and the directors' remuneration report will not form part of the business at the AGM this year. The Company intends to convene a separate shareholder meeting following the publication of the 2025 Annual Report and Accounts where these resolutions will be tabled. Further details of this meeting will be provided in due course. This AGM is therefore being held to cover certain routine business only, namely the re-election of directors, renewal of the Company's authority to make market purchases of its own shares and to call general meetings by notice of 14 clear days.

Given Vitalii Lisovenko has now served over nine years on the Board, he will not be standing for re-election at this year's AGM and will retire from the Board at the conclusion of the AGM.  The Company would like to thank Vitalii for his service to the Company and the valuable contributions he has made throughout his tenure.
