Capital Reduction

7 October 2026 – European Green Transition plc (AIM: EGT), a company operating in the critical infrastructure sector, announces that following the confirmation hearing held on 6 October 2026 in connection with the proposed cancellation of the sum standing to the credit of the Company's share premium account (“Capital Reduction”), which was approved by the Company’s shareholders at the Annual General Meeting on 29 June 2026, the High Court of Justice of England and Wales has now sanctioned the Capital Reduction.

The Capital Reduction will become effective on registration of the Court order and accompanying statement of capital by the Registrar of Companies in England and Wales, which is expected to occur in the next few days. The number of shares admitted to trading will be unchanged by the Capital Reduction.

The Capital Reduction will create distributable reserves and so provide the Company with the ability to pay dividends and make other distributions to shareholders in the future. However, no assurance is or can be given that the Company will declare any dividend or make any other distribution or return of value or, if it were to do so, as to the timing or amount(s) of the same.
