Issue of Bonus Shares & Consideration Shares
Ethtry PLC (AQSE: ETHY) is pleased to announce that, further to its announcements of 14 September 2026 and 8 October 2026, it has now completed the issue of bonus shares (“Bonus Shares”) to those shareholders (“Qualifying Shareholders”) that were on the share register at 4.30pm on 11 September 2026 (the "Bonus Record Time"). In addition, the vendors of Dunbar Energy Ltd and Dunbar Energy Inc (together, "Dunbar Energy") have been issued with the ordinary shares due to them (“Consideration Shares”) following the completion of the acquisition of Dunbar Energy, which establishes the Company’s US data centre and energy development platform.
As at the Bonus Record Time, the Company had 2,310,106,271 ordinary shares of 0.002p each in issue (the "Ordinary Shares"). The Company has now issued 1,449,292,203 Bonus Shares pro rata and at no cost to Qualifying Shareholders, on the basis of approximately 0.627370360 Bonus Share for each existing Ordinary Share held at the Bonus Record Time. Entitlements to Bonus Shares have been rounded to a whole number of shares for each Qualifying Shareholder.
The vendors of Dunbar Energy (“Dunbar Vendors”) have been issued with 3,759,398,474 Consideration Shares. All Consideration Shares are subject to a lock-in agreement until 31 December 2026. Certain Dunbar Vendors who hold 24.7% of the enlarged share capital are subject to a longer lock-in until 9 September 2027, followed by orderly market arrangements until 9 September 2028.
The Bonus Shares and Consideration Shares will be credited as fully paid and will rank pari passu in all respects with the existing Ordinary Shares. Application will be made for the Bonus Shares and Consideration Shares to be admitted to trading on the Aquis Growth Market (“Admission”) and Admission is expected to occur on 9 November 2026.
Following Admission, the Company will have 7,658,796,945 ordinary shares in issue, each with one voting right. The Company does not hold any shares in treasury and therefore the total number of voting rights in the Company will be 7,658,796,945 on Admission.
This comprises the 2,450,106,268 Ordinary Shares currently in issue (as announced on 30 October 2026), together with the 1,449,292,203 Bonus Shares and the 3,759,398,474 Consideration Shares. The Ordinary Shares currently in issue include the 139,999,997 new Ordinary Shares issued under the Placing and Subscription announced on 23 October 2026. These shares were issued after the Bonus Record Time and do not carry any entitlement to Bonus Shares.
With effect from Admission, the figure of 7,658,796,945 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority’s Disclosure Guidance and Transparency Rules.
