BOARD APPOINTMENT - NON-EXECUTIVE DIRECTOR

Essentra plc, a leading global manufacturer and provider of essential components and solutions, is pleased to announce the appointment of Sharmila Nebhrajani OBE to the Board of Directors as an independent Non-Executive Director with effect from 29 June 2026. Sharmila will serve on the Audit and Risk, Remuneration, Nomination and ESG Committees and will succeed Mary Reilly as Chair of the Audit and Risk Committee and Senior Independent Director on 1 January 2027. Mary will retire as a director on 31 December of this year.

Sharmila has extensive Board and committee chair experience, gained in a variety of roles spanning the private and public sectors as well as not for profit organisations.  A chartered accountant, she began her career in strategy consulting and brings insight from a wide range of sectors, including health, utilities, the media and financial services.

In her executive career, Sharmila spent 13 years at the BBC, latterly as Chief Operating Officer for BBC Future Media and Technology where she managed the business functions of bbc.co.uk including the launch of iPlayer and was most recently Chief Executive at Wilton Park, an executive agency of the UK's Foreign and Commonwealth Office convening international policy dialogues on critical geopolitical issues in global health, defence and diplomacy.

Her current non-executive appointments are Halma plc where she is Audit Committee Chair, Severn Trent plc where she is Chair of the Remuneration Committee and ITV plc. She is also the Chairman of National Institute for Health and Care Excellence (NICE) and a director of Genomics England.

Sharmila studied Medicine at the University of Oxford, is a World Fellow at the University of Yale and was appointed OBE in 2014 for services to medical research.

At the date of this announcement, Sharmila has no interest in the ordinary shares in Essentra plc.
