Facility Conversion Notice and Cancellation

EQTEC plc (AIM: EQT), the technology-led energy transition company, announces that it received, on 20 February 2026, a conversion notice pursuant to the facility agreement with Global Investment Strategy UK Limited ("GIS"), as originally announced on 24 October 2025 (the "Facility"). The conversion notice relates to the remaining principal amount of £160,000 outstanding under the Facility, which, in accordance with its terms, will be converted at a price of 0.034 pence per ordinary share into 470,588,235 new ordinary shares in the Company (the "Conversion Shares").

Following this conversion, the balance outstanding under the Facility will be reduced to zero and, by mutual agreement with GIS, the Facility will be cancelled in full.

Admission and Total Voting Rights

Application will be made to the London Stock Exchange for admission of the 470,588,235 Conversion Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and that dealings in the new Ordinary Shares on AIM will commence at 8.00 a.m. on or around 27 February 2026.

The Conversion Shares will rank pari passu in all respects with the Company's existing Ordinary Shares.

Following Admission, there will be 8,459,876,454 Ordinary Shares in issue. The Company holds no Ordinary Shares in Treasury. This number may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
