Further Issuance of Unsecured Loan Notes and Share Buy-Back

EPE Special Opportunities Ltd ("ESO" or the "Company") announces that:

i.  Further to the recent series of announcements, the Company has issued further Notes in aggregate principal amount of £11,124,499 (the "New Notes") under the loan note instrument dated 23 July 2015 (as amended by a deed of amendment on 21 July 2022, a deed of amendment on 17 July 2024 and a deed of amendment on 21 July 2026) (the "Loan Note Instrument"). The New Notes rank pari passu in all respects with all other existing Unsecured Loan Notes outstanding under the Loan Note Instrument and together form a single series. The consideration for the New Notes comprised £6,014,499 in cash and 1,750,000 ordinary shares of the Company (the "Purchased Ordinary Shares").

The Company intends to use the proceeds from the issuance of the New Notes to fund the redemption of the Company's zero dividend preference shares in December 2026, and for investment activities. Immediately after the issuance of the New Notes, the outstanding principal amount of Notes in issue under the Loan Note Instrument is £13,385,800. The New Notes are admitted to trading on the AQSE Growth Market.

ii.  The Purchased Ordinary Shares were acquired by the Company by way of an off-market purchase and will be held by the Company in treasury. Following the buy-back of Purchased Ordinary Shares, the total number of ordinary shares of the Company in issue (excluding ordinary shares held by the Company in treasury) is 24,491,292 ordinary shares as of the date hereof. This number of Company's ordinary shares in issue, may be used by shareholders as the denominator for the purposes of calculations to determine whether they are required to notify their interest in, or a change to their interest in, the Company's share capital and voting rights under the FCA's Disclosure Guidance and Transparency Rules. The total number of ordinary shares held by the Company in treasury is 10,423,275 ordinary shares as of the date hereof.
