DIRECTORATE CHANGE
EJFI, which primarily provides investors exposure to a diversified portfolio of regulated debt issued by smaller U.S. banks and insurance companies, and participation in certain management fee income streams of EJF Capital, today announces the following Board and Committee changes as part of its long-term succession planning.
As disclosed in the Company's Annual Report and Audited Financial Statements for the year ended 31 December 2025, Nick Watkins, Chairman of the Management Engagement Committee and a member of the Audit and Risk Committee and Nomination Committee, and Alan Dunphy, Chairman of the Audit and Risk Committee and a member of the Management Engagement Committee and Nomination Committee, have each notified the Board of their intention to retire as Non-Executive Directors during 2027.
To facilitate an orderly succession process, the Board intends to implement an appropriate transition period ahead of their retirements to enable the effective transfer of responsibilities and ensure continuity of leadership. These appointments form part of the Company's long-term Board succession plan and commitment to maintaining a strong governance framework.
The Company is pleased to announce the appointments of Bronwyn Curtis and Martin Rowley as non-executive Directors, to take effect on the later of 1 October 2026 or the date on which the Jersey Financial Services Commission confirms that it has no objection to such appointment. It is intended that Ms Curtis will succeed Mr Watkins as Chair of the Management Engagement Committee in April 2027 and join the Audit and Risk Committee as a member, and Mr Rowley will succeed Mr Dunphy as Chair of the Audit and Risk Committee in April 2027 and join the Management Engagement Committee as a member.
Bronwyn Curtis OBE
Ms Curtis, a Jersey resident, is an experienced chair, non-executive director and senior executive across banking, media, commodities and consulting, with global or European wide leadership responsibilities for 20 years at HSBC Bank plc, Bloomberg LP, Nomura International and Deutsche Bank Group. She is currently non-executive director and senior independent director at BH Macro Limited and non-executive director and chair of TwentyFour Income Fund as well as a number of private companies. She is also a regular commentator in the media on markets and economics. In recognition of her contribution to business economics, she was awarded an OBE in 2008.
Martin Rowley
Mr Rowley, a Jersey resident, has over 30 years of international tax experience. Prior to his retirement from professional practice, he was a Partner of Deloitte, serving as Head of Deloitte's Jersey tax practice and a Partner in the firm's US business tax group. During his career, he has advised clients on corporate and international tax matters in a range of industries spanning offshore jurisdictions including China and India.
In accordance with the Company's voluntary compliance with UK Listing Rule 6.4.8R, it is confirmed that there are no additional details to be disclosed in relation to Ms Bronwyn Curtis and Mr Martin Rowley.
