Reminder to vote at the upcoming General Meeting

Summary by AI BETAClose X

eEnergy Group plc is reminding shareholders to vote at the upcoming General Meeting on October 23, 2026, to approve the £8.3 million fundraising, which is crucial for paying approximately £4.0 million in overdue trade creditors and funding net working capital. The Board strongly urges a vote in favour of the Fundraising Resolutions, as successful completion is deemed imperative for the company's short-term working capital needs and solvency. Failure to pass these resolutions would prevent the fundraising, jeopardizing the company's ability to continue as a going concern.

Reminder to vote at the upcoming General Meeting on 23 October 2026

eEnergy Group plc (AIM: EAAS) ("eEnergy", the "Company" or, together with its subsidiary undertakings, the "Group"), the net zero energy services provider, wishes to remind shareholders to vote at the upcoming General Meeting.

Earlier this month, the Company announced it had raised a total of £8.3m gross proceeds through the Placing, Subscription and Retail Offer, conditional upon shareholder approval.  As detailed previously, the Company urgently requires these funds to pay approximately £4.0m to overdue trade creditors with the balance after costs to be used to fund net working capital.

Importance of your vote

Shareholders are strongly urged by the Board to vote in favour of the Fundraising Resolutions at the General Meeting in order for the Fundraising to proceed.

The Directors believe that successful completion of the Fundraising is imperative to fund the Company's short-term working capital requirements and keep the Company solvent. Whilst creditors have been supportive, the Company needs to raise funds to bring creditors up to date and to be able to continue trading.

Accordingly, the Directors believe that it is critical that Shareholders vote in favour of the Fundraising Resolutions.

If the Resolutions are not passed by Shareholders, the Fundraising cannot complete, the Company will not receive the net proceeds of the Fundraising and the Company would need to urgently review its financial position and ability to continue as a going concern.

The Directors consider the Fundraising to be in the best interests of the Company and Shareholders as a whole in the current circumstances.

The latest time and date for receipt of proxy appointments is by no later than 10 a.m. on 21 October 2026.

Unless defined in this announcement, all capitalised terms have the same meaning ascribed to them in the Company's announcements of the Placing, Subscription and Retail Offer, each released at 7.00 a.m. on 2 October 2026.

This announcement contains inside information for the purposes of Article 7 of the Market Abuse Regulation (EU) No. 596/2014, as it forms part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended.
