ECOFIN U.S. RENEWABLES INFRASTRUCTURE TRUST PLC (the "Company")
New Consultancy Arrangements
The Company announces that it has agreed by way of mutual written agreement with Sustainability Partners Services, LLC ("SP"), to terminate the Infrastructure Business Services Agreement entered into between the Company and SP on 6 May 2025, pursuant to which SP provides day-to-day operational support to the Company in relation to the management of the Company's business and assets (the "Agreement").
The Agreement shall terminate with effect from the end of 31 December 2026 (the "Termination Date"). Until the Termination Date, SP will continue to provide the services under the Agreement to the Company (including remaining responsible for all deliverables required under the Agreement due on or before the Termination Date) and the Company will continue to pay the services fee under the Agreement to SP (including for the quarters ending 30 September 2026 and 31 December 2026).
Since 25 June 2025, the Company has been a self-managed alternative investment fund. In the light of the above developments, the Company has considered its options with respect to the ongoing services received by the Company and its subsidiaries for the remainder of the Company's managed wind-down process following the Termination Date and is pleased to provide the following update to shareholders.
New Consultancy Agreement
The Company's subsidiary, RNEW Holdco, LLC ("Holdco"), has today entered into a consultancy agreement with Bluewater Tax & Accounting, LLC, a company affiliated with Nancy Johnson ("Bluewater"), pursuant to which Bluewater will provide services in relation to the management of the business and assets of Holdco and its subsidiaries (the "Consultancy Agreement"). The Consultancy Agreement shall take effect on 1 January 2027, following the Termination Date, and shall replace the existing agreement entered into between the Company and Nancy Johnson on 8 December 2025, in respect of the consultancy services provided by Nancy Johnson.
Nancy Johnson, a director of the Company, has been involved with the Company since 2022 and has over 15 years’ experience in the renewables industry and will provide the continuity required in respect of the assets.
Under the Consultancy Agreement, Bluewater will be entitled to an annual services fee of $135,000 payable in four equal quarterly instalments. Bluewater shall also be entitled to an additional annual fee of $37,500 payable in a single instalment, by way of an incentivisation towards completing the Company's managed wind-down process.
Subject to limited immediate rights of termination (including on the insolvency of Holdco or Bluewater), the Consultancy Agreement may be terminated on three months' written notice.
