Eco Buildings Group plc (AIM: ECOB), the AIM-listed technology-led housing manufacturing company, is pleased to announce that it has entered into a binding Strategic Investment Framework Agreement (the "Agreement") with Lumen Holdings Limited ("Lumen"), a co-signatory to the Agreement, and with the Ministry of Interior (Hon. Abdoulie Sanyang) and the Ministry of Defence (Hon. Sering Modou Njie) of the Republic of The Gambia, for the establishment of the ECO Buildings West Africa AI-Powered Centre of Excellence in The Gambia.

The Agreement creates the formal framework for what the Board considers to be the most significant international development in Eco's history to date. It is designed to establish The Gambia as Eco's West African Headquarters, advanced manufacturing base, technology-transfer centre, training academy and export hub serving The Gambia, ECOWAS (the Economic Community of West African States) and wider African markets.

Under the Agreement, Eco Buildings Gambia Limited ("NEWCO") is to be established in The Gambia and will be  responsible for implementation, manufacture, engineering, technology transfer and operation of the Project in the country. The Project is recognised in the Agreement as a Strategic National Development and Industrialisation Initiative.

Lumen is a co-signatory and party to the framework alongside Eco Buildings, while NEWCO will be the exclusive implementation and operating entity in The Gambia. The detailed investment, financing, shareholder and other implementation arrangements are to be agreed separately. Lumen has been a service provider to Eco Buildings for some time, particularly in the area of business development, bringing new growth opportunities to the Company. Lumen's formal role in NEWCO is evolving and will be formally defined in due course. The Company will update the market accordingly.

Key Terms and Strategic Commitments

·    Minimum 10,000-home housing programme, including an initial phase and minimum order of 1,000 homes, as set out in the Agreement.

·    The Gambia to be developed as Eco Buildings' West African Headquarters and AI-Powered Centre of Excellence.

·    NEWCO to act as the exclusive implementation, manufacturing, engineering, technology-transfer and operating entity for the Project in The Gambia.

·    Government facilitation across land allocation, permits, licenses, customs, utilities, immigration, investment approvals and regulatory coordination, in accordance with Gambian law.

·    Provision of a strategically located site of approximately 300 meters by 400 meters, with future expansion rights and supporting infrastructure requirements.

·    Development of an AI-enabled advanced manufacturing platform, technical training academy and skilled Gambian workforce.

·    Creation of an export manufacturing hub serving The Gambia, ECOWAS and wider African markets.

·    Eco retains exclusive ownership of its patents, software, AI systems, manufacturing technology, designs, engineering drawings, know-how and other intellectual property.

·    Capital funding and implementation mechanics to be documented under separate definitive investment, financing, land, manufacturing, shareholder and supply agreements.

A National Industrial Platform, not a Single Housing Contract,

The Agreement is structured as a long-term national industrial framework rather than a conventional project-specific supply contract. It brings together housing delivery, advanced manufacturing, artificial intelligence, technology transfer, workforce development, local procurement and regional exports within one integrated platform.

Eco's intention is to deploy its proprietary GFRG technology through a standardised and replicable manufacturing model capable of producing approximately six homes per day per production line. The proposed Gambian platform is intended to become a regional base from which future capacity can be expanded through additional lines as demand develops.

Eco announced earlier this year that its strategy is to establish production in countries where it secures contracts. Consistent with that strategy, the homes under the Project are intended to be manufactured in The Gambia and local manufacturing capacity will need to be established. The specifications and cost of the facility, together with the arrangements for its funding, have not yet been agreed and will be addressed as the framework moves into definitive agreements.

The Board believes that this government-backed framework materially strengthens Eco's ability to demonstrate the scalability of its technology-led housing model internationally, provides a blueprint for future sovereign and regional partnerships, and will increase ARR, providing the Company with a new predictable annual revenue stream.

Strategic Significance

The Agreement combines a large-scale housing programme with a national manufacturing mandate, strategic land and infrastructure support, exclusive implementation status, training and technology transfer, and access to a regional export market. Taken together, these elements create a platform with the potential to transform the scale and geographic reach of Eco's operations.

The proposed Centre of Excellence is intended to integrate Eco's next-generation AI-enabled manufacturing architecture with engineering, quality control, predictive maintenance, intelligent production scheduling and continuous operational learning. For the purposes of the Project, the Centre of Excellence is intended to comprise an advanced automated manufacturing facility, an AI and Construction Innovation Centre, a technical and vocational training academy, a digital engineering and BIM centre, a regional logistics and deployment hub and a project-development platform for West Africa. Together, these components are intended to support manufacturing, research and development, technology transfer, workforce development, housing production and exports to The Gambia and the wider ECOWAS region. Knowledge generated across Eco's manufacturing network is expected to support consistent quality and faster replication across future facilities.

Next Steps

The Parties will now progress the establishment of NEWCO and negotiate the definitive agreements required for implementation, including the Shareholders Agreement, Investment Agreement, Land Agreement, Manufacturing Agreement, Supply Agreement and related financing arrangements. The Company will provide further announcements as material milestones are achieved.
