Launch of Share Buyback Programme

Eagle Eye, an AI-powered loyalty and promotions platform enabling the world's leading consumer facing brands to deliver true personalised customer engagement at scale, announces that from today, the Company will commence a share buyback programme to repurchase ordinary shares of 1 pence each in the Company ("Ordinary Shares") for up to a maximum amount of £1.0 million (the "Buyback Programme"). All shares acquired under the Buyback Programme will be held in treasury and are expected to be used, inter alia, to satisfy future obligations arising under Eagle Eye's staff share schemes, thus partially reducing future dilution for shareholders, and to provide flexibility to reissue the treasury shares if required to satisfy investor demand.

The Board believes that the current share price substantially undervalues Eagle Eye and its future prospects and that the Buyback Programme represents an effective use of the Group's cash balances to deliver value for shareholders, in line with Eagle Eye's approach to capital allocation. Eagle Eye continues to have financial flexibility to support the execution of its growth strategy.

The Company has instructed Canaccord Genuity Limited (the "Broker") to conduct the Buyback Programme on its behalf on an irrevocable and non-discretionary basis in relation to the purchase of Ordinary Shares. The Broker will make trading decisions in relation to Ordinary Shares purchased under the Buyback Programme independently of, and uninfluenced by, Eagle Eye.

The Buyback Programme will be effected within certain pre-set parameters, including that the maximum price paid per Ordinary Share shall be no more than the higher of (i) 105 per cent. of the trailing five-day average mid-market price, and (ii) the higher of the price of the last independent trade and the highest current independent bid, in each case under the terms of the general authority granted to the Board by the Company's shareholders (at the Company's annual general meeting on 19 November 2025, pursuant to which shareholders gave the Company authority to purchase a maximum of 2,988,945 Ordinary Shares) (the "General Authority"). The Company will seek shareholders' approval authorising another such general authority for a further twelve months at the 2026 annual general meeting of the Company expected to be on 19 November 2026.

The Buyback Programme will expire on 31 January 2027, or earlier, if the maximum aggregate consideration has been reached or the process is terminated or paused.

Any market repurchase of Ordinary Shares will be announced on a weekly basis, and in any event by no later than the end of the seventh daily market session following the date of execution.

Further details of the Buyback Programme

●

The Buyback Programme will be financed from existing cash resources and subject to the Company having sufficient distributable reserves.

●

The aggregate number of Ordinary Shares acquired by the Company pursuant to the Buyback Programme shall not exceed the maximum number of Ordinary Shares which the Company is authorised to purchase pursuant to the General Authority, and the Company will seek shareholders' approval authorising another such general authority for a further twelve months at the 2026 annual general meeting of the Company expected to be on 19 November 2026.

●

Due to the limited liquidity in the issued Ordinary Shares, a buy-back of Ordinary Shares pursuant to the General Authority on any trading day may represent a significant proportion of the daily trading volume in the Ordinary Shares on AIM and may exceed 25 per cent of the average daily trading volume. Accordingly, the Company will not benefit from the exemption contained in Article 5(1) of the UK version of the Market Abuse Regulation (Regulation (EU) No 596/2014) as incorporated into UK domestic law by virtue of the European Union (Withdrawal) Act 2018.

●

Share buybacks will take place in open market transactions and may be made from time to time depending on market conditions, share price and trading volume. There is no certainty that any buybacks will be completed. The Share Buyback may be paused at any time if deemed appropriate by the Broker with respect to market conditions.

●

The Company is not in a close period and currently has no unpublished inside information.

●

The Buyback Programme will operate in accordance with and under the terms of the relevant General Authority.

●

The Company confirms that as at 26 October 2026, its issued share capital consisted of 30,226,571 Ordinary Shares, all with voting rights, and no Ordinary Shares are currently held in treasury. The total number of voting rights in the Company as at 26 October 2026 is therefore 30,226,571.

The Board has determined that the commencement of this Buyback Programme is in the best interests of the Company and its shareholders.
