CEO Succession

DP Poland, the operator of Domino's pizza stores and restaurants across Poland and Croatia, today announces the appointment of Łukasz Ostrowski as Chief Executive Officer. Łukasz's appointment is expected to take effect on 3 August 2026.

After four years with the Company, Nils Gornall has decided to step down as Chief Executive Officer and as a director of the Company, with effect from 3 August 2026. Nils will remain in post until that date to ensure an orderly handover and will continue to support Łukasz through a transition period thereafter. As part of the agreed succession arrangements, the Remuneration Committee has utilised its discretion to approve that Nils Gornall's outstanding unvested share options will fully vest upon his departure, once vested he will have a total of 15,560,075 share options. Nils has undertaken that any future sale of shares will be conducted in accordance with agreed orderly market obligations.

Łukasz Ostrowski, a Polish national, joins DP Poland from OTCF S.A. (owner of the 4F brand), one of Poland's leading sports and apparel businesses with a turnover of approximately €350 million. As Deputy CEO he held responsibility for the business globally and led the scaling of its e-commerce and digital customer platform.

Prior to OTCF, Łukasz spent over seven years in senior leadership roles at IKEA, including as interim CEO and Chief Operating Officer of IKEA Netherlands and as Chief Operating Officer of IKEA China, where he led the group's shift into omnichannel retail, launching and scaling its e-commerce operations and driving online sales well ahead of target.

Earlier in his career, Łukasz was CEO of Groupon Poland, a pure-play e-commerce business, and held senior commercial roles at IKEA Poland, Vision Express, Danone and Mars.

Łukasz's appointment is subject to the completion of normal regulatory due diligence by the Company's nominated adviser and a further announcement will be made with the necessary disclosure in due course.

David Wild, Chairman of DP Poland, commented:

"On behalf of the Board, I would like to thank Nils for his significant contribution to DP Poland. During his four-year tenure the Group's estate has grown from 116 stores to over 200 locations, system sales have reached record levels, and the business has moved decisively to a profitable, franchise-led model. We are grateful that he will support Łukasz through the handover, and we wish him every success for the future.

We are delighted to welcome Łukasz on 3 August to lead the next phase of the Group's growth. Łukasz brings deep experience in scaling multi-site consumer businesses and expanding their digital and e-commerce capabilities, both in Poland and internationally. This expertise is highly relevant to Domino's, where online and app-based ordering accounts for the substantial majority of sales, and we look forward to benefiting from his leadership as we continue to grow and strengthen the business.

Nils Gornall commented:

"Leading DP Poland has been a privilege. I am proud of what our team has built - a business of more than 200 locations with real momentum and a strong franchise community. The next chapter needs exactly the skills Łukasz brings, and I will be giving him my full support through the transition. I want to thank our people, our franchisees and our shareholders."

Łukasz Ostrowski, incoming CEO, commented:

"I am honoured to join DP Poland. Domino's is one of the world's great consumer brands, and the Group has a proven, profitable model in two attractive and underpenetrated markets. I have spent my career scaling multi-site consumer businesses in Poland and internationally, and my focus will be on execution: growing the store network, strengthening our franchisees' economics, and building on the operational excellence this team is known for."

The Group's trading remains in line with the Board's expectations, and there is no change to the Company's previously announced outlook for FY2026 on 14 July 2026.
