Dotlines (AIM: DOTL), a UK-based international technology group operating in the telecommunications, digital infrastructure, cybersecurity and financial technology sectors, announces that Dotlines Sdn Bhd, its Malaysian subsidiary ("Dotlines Malaysia"), has agreed a MYR 7 million (approximately £1.3 million) loan facility with OSK Ventures ET Fund I Ltd ("OSKVI") (the "Facility"). The purpose of the Facility is to bolster the Company and its subsidiaries' (the "Group") power to bulk purchase airtime/data top-ups and airline tickets that are offered on the Company's Sohoj platform. By bulk purchasing the products offered on the Sohoj platform, the Group will be able to benefit from higher margins for supplying these products as well as strengthening relationships with suppliers.

 

OSKVI is part of a Bursa Malaysia-listed venture capital and private equity investment group with over 20 years of operating history and with an investment portfolio of more than MYR 325 million spanning approximately 55 technology and growth-stage investments across Southeast Asia. The Board of Dotlines considers OSKVI a potentially valuable long-term partner due to its Malaysian market expertise, familiarity with Sohoj's operations, experience in technology investments and ability to provide both debt and equity funding.

 

Interest is payable on the Facility at a rate of 16 per cent. per annum, payable monthly in arrears, as well as an arrangement fee. The Facility has a minimum term of 12 months and is repayable over a period of 24 months after the initial drawdown with the first repayment occurring on the seventh month after the initial drawdown.

 

In addition, OSKVI will receive new ordinary shares of no-par value each in the capital of the Company ("Ordinary Shares") equal to 7 per cent. of the amount drawn under the Facility. Accordingly, with the immediate drawn down of the Facility in full, 835,884 new Ordinary Shares will be issued to OSKVI at 10.72 pence per share, being the volume weighted average price of the Company's Ordinary Shares on AIM for the previous 30 trading days. Application will be made to the London Stock Exchange for the 835,884 new Ordinary Shares to be admitted to trading on AIM on or around 15 September 2026 ("Admission").

 

The Facility is governed by the laws of Malaysia and includes common terms for a loan facility of this nature, such as for security and guarantees, events of default and change of control (which also requires, inter alia, Mahbubul Matin (Executive Chairman of the Company) to remain a director and have a shareholding interest in the Company of at least 50 per cent.). The Company and Mahbubul Matin and Mohammad Monsurul Hoq Sazzad (CFO of the Company) have agreed to guarantee the obligations of Dotlines Malaysia under the Facility.

 

Related Party Transaction - personal guarantees

 

The personal guarantees for the Facility by Mahbubul Matin and Mohammad Monsurul Hoq Sazzad constitute related party transactions with the Company pursuant to rule 13 of the AIM Rules for Companies. Accordingly, the directors of the Company, save for Mahbubul Matin and Mohammad Monsurul Hoq Sazzad, consider, having consulted with the Company's nominated adviser, that the terms of the transactions are fair and reasonable insofar as the Company's shareholders are concerned.

 

Total Voting Rights

 

Following Admission, the issued share capital of the Company will comprise 610,169,675 Ordinary Shares. Each Ordinary Share has one voting right and no Ordinary Shares are held in treasury. Accordingly, from Admission, the total number of voting rights in the Company will be 610,169,675. From Admission, this figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
