Proposed Fundraising, Capital Access Window & Trading Halt
Dekel Agri-Vision Plc (AIM: DKL), the West African agriculture company focused on building a portfolio of sustainable and diversified projects, announces its intention to utilise AIM's new Capital Access Window rule in connection with a proposed equity capital raise (the "Proposed Fundraising").
Proposed Fundraising
The Proposed Fundraising follows the strong operational momentum being delivered by the Company’s cashew processing plant at Tiebissou, Côte d’Ivoire (the “Cashew Operation”). In Q3 2026 the Cashew Operation delivered its strongest quarter to date, processing 2,130 tonnes of Raw Cashew Nuts (“RCN”), an increase of 28.6% year-on-year, with cashew production and sales volumes up 71.1% and 72.3% respectively, as announced on 9 October 2026.
The net proceeds of the Proposed Fundraising are intended to be used to acquire and install additional processing equipment to increase the Cashew Operation’s RCN processing capability ahead of the 2027 season and to provide additional working capital to support the increased level of RCN processing.
Corporate Finance Update: As previously announced on 12 May 2026 and in the Company’s 2026 Interim Results, the Board continues to evaluate a number of corporate finance opportunities, including potential equity injections at project level, expressions of interest received in relation to one or more of the Group’s operating subsidiaries and a potential offer for the Company as a whole. These discussions are ongoing and are being pursued with a focus on maximising shareholder value. There can be no certainty that any transaction will be concluded, and the Proposed Fundraising is not conditional on any such transaction. Further announcements will be made as appropriate.
Capital Access Window
Following the updates to the AIM Rules for Companies announced in August 2026, to support the Proposed Fundraising, the Company will enter a Capital Access Window with effect from 7.30am today. This is a voluntary temporary pause in the trading of the Company's shares on AIM to make it easier to reach a broader range of investors, including retail investors, and to provide pricing stability during a fundraise. The Capital Access Window will remain in place until a further announcement is made detailing the results of the Proposed Fundraising.
There can be no certainty that the Proposed Fundraising will proceed or as to its final terms.
This announcement does not constitute an offer of securities in any jurisdiction. The Proposed Fundraising, if implemented, will be the subject of further announcements, which will include the material terms and conditions of the Proposed Fundraising.
