Dekel Agri-Vision Plc (AIM: DKL), the West African agriculture company focused on building a portfolio of sustainable and diversified projects, announces that it was notified that on 12 May 2026, Aristide Achybrou, Non-Executive Director of the Company, made the following purchases of ordinary shares of €0.0003367 ("Ordinary Shares") each in the Company from existing Directors of the Company as set out below:

These transactions have been made as part of a strategy for Mr Achybrou to take a more active role in the future operational and corporate direction of the Company as set out in the announcement dated 12 May 2026.  The Board of Directors is fully supportive of these purchases by Mr Achybrou and will continue work to assess any potential future transactions considered in the best interests of shareholders. The purchase price of the shares at 0.5p reflects a 5.3% premium to the current mid-price of 0.475p at close of business 12 May 2026. 

 

Issue of Equity

In addition, Aristide Achybrou has elected to receive his outstanding directors' fees in the form of ordinary shares, resulting in the issue of 7,154,547 new ordinary shares at an average issue price of 0.78 pence per share (the "Fee Shares"). Following Admission of the Fee Shares and completion of the transactions referred to above, Mr Achybrou will hold a total of 203,917,580 ordinary shares, representing approximately 16.85 per cent. of the Company's enlarged issued share capital. The selling Directors' resulting shareholdings are also set out in the table above.

 

Total Voting Rights

Application will be made to the London Stock Exchange for the admission of the Fee Shares of a total of 7,154,547 ordinary shares of €0.0003367 each ("Ordinary Shares"). It is expected that Admission will become effective on or around 21 May 2026. Following Admission, the Company's issued share capital will consist of 1,210,100,042 Ordinary Shares which may be used by shareholders as the denominator for the calculations by which to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
