JAMES CROPPER PLC ('THE COMPANY')

The Company was notified on 14 March 2011 that on that day Mr James Cropper, a Director of the Company, gifted 15,000 ordinary shares of 25 pence each in the Company ('Ordinary Shares') to the Cumbria Community Foundation.

Following this transaction Mr James Cropper and his connected parties have a notifiable beneficial interest in the Company of 568,337 Ordinary Shares, representing 6.7% of the issued share capital of the Company.

Mr James Cropper and his connected parties also have a notifiable non-beneficial interest in the Company of 604,752 Ordinary Shares, representing 7.14% of the issued share capital of the Company unchanged from this transaction.
