Convatec commences share buyback programme
London, UK, 4 August 2026: Convatec announces that, further to its announcement today of the Company's interim results for the six months ended 30 June 2026, the Company will today, commence a non-discretionary share buyback programme (the "Programme") to return up to $200 million of surplus capital to shareholders. The Programme is expected to end no later than 31 December 2026.
Convatec has entered into an agreement with Morgan Stanley & Co. International Plc ("Morgan Stanley") to conduct the Programme on its behalf and to make independent trading decisions within certain pre-set parameters.
Any purchases will be made in accordance with (i) the general authority of the Company to repurchase shares granted by shareholders at the Company's Annual General Meeting held on 21 May 2026; and (ii) Chapter 9 of the Financial Conduct Authority's UK Listing Rules. Up to 195,485,202 ordinary shares of 10 pence each in the Company (the "Shares") may be acquired as part of the Programme for a maximum aggregate consideration of $200 million. The purpose of the Programme is to reduce the capital of the Company or to meet obligations arising from employee share options. The Shares will be held in treasury pending such use or cancellation.
