 NOTICE OF 2026 ANNUAL GENERAL MEETING

CHL, the ultimate parent company of Conduit Reinsurance Limited ("Conduit Re"), a Bermuda-based reinsurance business, announces that its 2026 Annual General Meeting ("AGM") will be held at CHL's offices at Ideation House, 94 Pitts Bay Road, Pembroke, HM08, Bermuda at 10:00 a.m., Bermuda time on 13 May 2026.

The Notice of CHL's 2026 Annual General Meeting (the "AGM Notice") was distributed to shareholders on 8 April 2026 and, in accordance with UK Listing Rule 6.4.1, will be submitted to the National Storage Mechanism, where it will be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

A copy of the AGM Notice will be available on the Shareholder information and communications page within the Corporate Governance section of CHL's website (www.conduitreinsurance.com). A Form of Proxy and a Form of Instruction (for depositary interest holders) for the AGM will be available on the same web page.

CHL will offer shareholders the ability to join the AGM via video conference (subject to pre-registration requirements), as detailed in the AGM Notice. Shareholders should note that voting arrangements are set out in the AGM Notice.

Shareholders wishing to vote on any of the matters of business at the AGM are encouraged to submit their votes in advance by using one of the methods set out in the AGM Notice. Shareholders should appoint the chair of the AGM as their proxy to ensure that their vote is counted.

Depositary interest holders will need to submit their votes via the custodian or via the online or CREST voting system as detailed on the Form of Instruction that accompanies the AGM Notice.
