PDMR Notification

Grant of LTIP Award

Conduit Holdings, the ultimate parent company of Conduit Re, a Bermuda-based multi-line reinsurance business, today announces that the following conditional award over common shares of $0.01 par value each in Conduit ("Common Shares") were granted under the Conduit Long Term Incentive Plan ("LTIP") to the following person discharging managerial responsibilities in Conduit ("PDMR"):

(1)       Neil Eckert, PDMR, has been awarded 432,778 Common Shares as a Performance Share Award.

The award was granted on 10 April 2026 as a conditional award and will ordinarily vest on the third anniversary of the grant date, subject to continued employment and to the satisfaction of performance and other conditions in accordance with the rules of the LTIP and the Remuneration Policy approved at Conduit's 2024 AGM, and as disclosed in the Remuneration Report set out in Conduit's Annual Report & Accounts.

PDMR's beneficial ownership interest

Neil Eckert's beneficial ownership interest stands at 913,253 Common Shares excluding the unvested shares which are the subject of the LTIP Award specified in this announcement.
