Posting of Annual Report and Accounts and Notice of AGM

Colefax announces that it has today published and sent to shareholders a circular convening a general meeting of the Company on 24 September 2026 at 11:15 a.m. (or as soon thereafter as the Annual General Meeting, convened on that day, has been completed) (the "Circular").

The purpose of the meeting is to ask shareholders to approve the waiver by the Takeover Panel of any obligation that might otherwise fall on the Concert Party (as defined in the Circular) to make a general offer pursuant to Rule 9 of the City Code on Takeovers and Mergers published by the Takeover Panel which would otherwise result from any purchases by the Company of its own shares pursuant to the market purchase authority which it is asking shareholders to approve at the Annual General Meeting, which has been convened for the same day at 11:00 a.m.
