Co-operative Group Holdings (2011) Limited hereby notes the following announcement made today by its parent entity, Co-operative Group Limited. Co-operative Group Holdings (2011) Limited has made this announcement to ensure that holders of its listed securities are fully appraised of the update.

In February 2023 Co-operative Group Limited reported that a claim had been issued by the liquidators of The Food Retailer Operations Limited in connection with transactions which took place in 2015 and 2016 relating to the Somerfield supermarket business acquired by Co-op in 2009. The amount claimed was in excess of £450m plus further unquantified amounts of interest and costs. Co-op vigorously defended these claims.

Today, judgment in relation to these claims was handed down by The Honourable Mr Justice Cawson after a trial held across January and February 2026. Co-op is pleased to confirm that all of the claims against Co-operative Group Limited and its relevant subsidiaries have been dismissed.
