Sale of Shares from Treasury

The Company announces the sale of 100,000 ordinary shares of 25p each, from shares held in Treasury. These shares were sold today for cash at a price of 505.5p per share.

Following the above sale, the Company's issued ordinary share capital will continue to be 502,664,868 ordinary shares of 25p each, of which 7,672,762 are held in Treasury and have no voting rights. The number of ordinary shares to be used in the calculation of voting rights is 494,992,106.

The number of voting rights in the Company is now:

a)         32,999,473 in respect of the ordinary shares (one vote for every 15 shares held);

b)         30,198 in respect of the First Preference Stock (one vote for every £10 of stock held); and

c)         29,484 in respect of the Preferred Ordinary Stock (one vote for every £20 of stock held).

Therefore, the total number of voting rights in the Company is 33,059,155.

The above figure (33,059,155) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, The City of London Investment Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
