Result of General Meeting and Total Voting Rights

 

Cirata plc (LSE: CRTA), the data orchestration technology company, announces that all resolutions set out in the circular dated 29 June 2026 and put to shareholders at the General Meeting held earlier today were duly passed. Further to the Launch Announcement, the additional condition of the establishment of a UK branch by the Company for those investors who require that the Placing Shares qualify for relief under Part 6 of the Income Tax Act 2007 or exemption or relief available under sections 151A of Taxation of Chargeable Gains Act 1992 has been satisfied, and accordingly all New Ordinary Shares will be issued at Admission.

 

Accordingly, the Company now has the requisite authority to issue 36,310,971 New Ordinary Shares at a price of 15 pence per share, raising total gross proceeds of approximately £5.4m (c.$7.2m) via the Fundraising.

 

Application has been made for a total of 36,310,971 New Ordinary Shares, which will rank pari passu with the existing Ordinary Shares in issue, to be issued and admitted to trading on AIM. Admission and dealings are expected to commence at or around 8.00 a.m. on 28 July 2026.

 

Following Admission, the Company's issued share capital will comprise 162,759,626 ordinary shares of 10p each, with voting rights. This figure may be used by shareholders as the denominator for calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

 

Capitalized terms used in this announcement shall, unless defined in this announcement or unless the context provides otherwise, bear the same meaning ascribed to such terms in the Circular posted to shareholders on 29 June 2026.
