Chapel Down Group plc
(“Chapel Down”, the “Company” or, together with its subsidiaries, the “Group”)
Proposed Capital Raising to raise up to £6.0 million
Introduction
Chapel Down Group plc (AIM: CDGP), England's leading winemaker, announces a proposed conditional placing of new ordinary shares of 5 pence each in the capital of the Company (the "Placing Shares") at a price of 43 pence per Placing Share (the "Placing Price") to raise gross proceeds of approximately £5.5 million (the "Placing"). In addition, the Company intends to make a separate offer of new ordinary shares to new and existing retail shareholders based in the United Kingdom to raise up to approximately £0.5 million (the "Retail Offer"), details of which will be announced separately.
Capital Raising highlights
· Placing to raise approximately £5.5 million (before fees and expenses; approximately £5.1 million net) through the issue of Placing Shares at the Placing Price, by way of an accelerated bookbuild (the "Accelerated Bookbuild");
· Retail Offer to raise up to approximately £0.5 million, to be announced separately, giving total gross proceeds of up to approximately £6.0 million (together with the Placing, the "Capital Raising");
· Net proceeds to fund a £4.5 million investment in a new soft pressing facility at the Company's Tenterden winery (the "Soft Pressing Project"), together with the additional working capital required to support the increased level of Traditional Method Sparkling (“TMS”) production resulting from the Soft Pressing Project;
· Soft Pressing Project to enable c.300,000 bottles of current annual production to be produced and sold as higher-margin TMS wine rather than, as current, lower-margin Still or Carbonated wine (targeting c.£2.0 million of incremental annual gross margin, which is expected to increase over time through higher average yields, inflation and improved product mix, with realisation building in increments from FY30), improve quality by cutting the harvest pressing window by 9 days (based on average yield), and allow higher-yield harvests to be processed in-house, reducing costs;
· The Soft Pressing Project is expected to be fully operational for the 2027 harvest and is targeting the delivery of an IRR of greater than 20%*;
· The Board believes that the Soft Pressing Project provides Chapel Down with the production capacity to achieve by 2033 its ambition of selling c. 2.5m bottles of TMS per annum, equivalent to a 1% share of global Champagne volumes, two years earlier than its previous target of 2035;
· Directors intend to participate in the Placing in an aggregate amount of £500,000;
· The Placing and the Retail Offer are not conditional upon the approval of the Company's shareholders ("Shareholders") and will be completed under existing authorities granted at the Company’s Annual General Meeting, held on 17 June 2026;
· The Placing Shares will rank pari passu in all respects with the Company's Existing Ordinary Shares; and
· The Placing is subject to the terms and conditions set out in Appendix I to this Announcement (which forms part of this Announcement).
* Key IRR assumptions: WACC 10.45%; terminal growth rate post FY35 of 3.5%; earnings include incremental EBITDA and incremental tax.
Background to and reasons for the Placing
Recent Performance
Chapel Down's core strategic focus is on TMS wines, which deliver a gross margin per bottle approximately four times that of its other wines, underpinning the Company’s continued drive to premiumise its product offering and brand. Chapel Down announced unaudited results for the six months ended 30 June 2026 on 23 September 2026, which demonstrated good progress against its growth strategy:
· Net sales of £9.4 million, up 19%, with wine sales up 18% and seven consecutive quarters of growth;
· Gross profit of £4.7 million, up 28%, with gross margin up 3.5 percentage points;
· TMS net sales revenue up 26%, with TMS representing 74% of wine sales (H1 2025: 70%);
· Net sales growth in every channel, with Off-Trade and On-Trade each up 18% and eCommerce up 12%, including over 3,800 new customers;
· International net sales up 66%, driven by the US through the Company's importer, Jackson Family Wines, with US distribution expanding from 11 to 31 states and a new listing in 250 Whole Foods stores;
· Chapel Down's share of the UK off-trade English Sparkling Wine category of 37% (H1 2025: 35%); and
· Operating cash flow improvement of £1.0 million versus H1 2025, with maturing stocks of £29.4 million (up £3.8 million), underpinning future growth.
The Company has made significant investment in its vineyards, with approximately 1,000 acres under vine (of which 897 acres were productive as at 30 June 2026), approximately 75% of which are on the chalk soils of the Kent North Downs, and new vineyards at Boxley Abbey (full production in 2026) and Buckwell (2027) coming into production. The Soft Pressing Project is an opportunity to optimise margin, quality and operational resilience from the Company's existing vineyard estate.
The Soft Pressing Project
The Soft Pressing Project, comprising an additional press (taking the total from four to five), tank capacity, automation, and associated infrastructure, is expected to increase annual TMS bottle production at Tenterden from 2.1 million to 2.4 million bottles on an average-yield harvest (3.4 tonnes per acre), with flexibility to produce up to 2.8 million bottles in higher-yield harvests, and to deliver three key benefits:
· Mix: in the current winery set-up in Tenterden, of the 700 litres of grape juice generated per tonne of TMS grapes, 550 litres is used by Chapel Down to make higher-margin TMS and the balance of 150 litres is used for Still and Carbonated wines. By increasing the volume per tonne of grape pressings available for TMS from 550 to 630 litres (+15%), the TMS share of Tenterden winemaking output would increase from 79% to 90% upon completion. This is expected to redirect approximately 300,000 bottles per year from lower-margin still and carbonated wines into TMS, which is estimated to capture an additional £2.0 million of gross margin a year from the same crop, expected to increase over time through average yield increasing, inflation and product mix, realised in increments from FY30 onwards;
· Quality: increasing throughput from 90 to 140 tonnes per day due to automation and an additional press would reduce the time required to press an average-yield harvest from 30 days to 21 days, thereby enhancing quality and increasing the proportion of fruit that could qualify for higher-margin vintage expressions; and
· Resilience: enabling the Company to process a higher-yield harvest in-house, rather than relying on third-party winemaking capacity (which is likely but not guaranteed to be available and is more expensive) in the event that such higher-yield would require more than 30 days' pressing time based on daily throughput.
Planning permission has been granted, design works are at an advanced stage and construction is expected to begin in Q4 2026, following the 2026 harvest, with estimated completion by July 2027. The Soft Pressing facility is expected to be operational for the 2027 harvest, with the first incremental TMS wines being produced from the new facility to be ready for sale from 2030.
The Board believes that the Soft Pressing Project provides Chapel Down with the production capacity to achieve by 2033 its ambition of selling c. 2.5m bottles of TMS per annum, equivalent to a 1% share of global Champagne volumes, two years earlier than its previous target of 2035.
At present, the Board expects capital expenditure requirements to be significantly lower from FY28 onwards as significant investments in vineyards and winery will have been completed. Approximately 25% of FY26 and 75% of FY27 capital expenditure requirements will be funded through the net proceeds from the Placing. Based on average yields, the Board expects the working capital requirement for the Company to be elevated in FY27 due to 119 acres of vineyards becoming productive, with a portion of the net proceeds of the Placing being used to fund approximately 20% of that year’s requirement. The Board expects net debt to peak in c. FY28 to FY29 (c.£0.3 million higher than would otherwise be the case as a result of the investment in the Soft Pressing facility); however, Debt/EBITDA will remain below 5x.
The Placing also gives the Board an opportunity to broaden and institutionalise the Company's shareholder register, with the Placing providing an opportunity for new institutional investors to participate.
Use of proceeds
The Company intends to use the gross proceeds of £5.5 million in the Placing as follows:
· approximately £4.5 million towards capital expenditure on the Soft Pressing Project (including an additional press, 10 x 50,000 litre tanks, press automation and efficiency equipment, construction, cooling, air and feeding systems, waste treatment and HSE measures, and contingency);
· approximately £0.6 million towards working capital, required to support increase in productive acreage and the increased level of TMS production resulting from the Soft Pressing Project; and
· approximately £0.4 million in respect of fees and expenses of the Capital Raising.
Funds raised will be held in the Company's revolving credit facility to reduce borrowing costs before being drawn down as required over the investment period. The Company expects that any funds raised pursuant to the Retail Offer will be used for additional working capital support.
Current trading and outlook
At its Interim Results, released on 23 September 2026, the Company announced that there had been continued growth momentum into Q3 2026. In addition, continued premiumisation into TMS and activation plans in place for Q4 2026 (including strong distribution gains already confirmed) led the Board to expect stronger gross profit for the full year, translating into an uplift of at least 10% in adjusted EBITDA compared to the market expectations at that time.
The Board is also pleased to announce the completion of a high-quality harvest of 2,706 tonnes (FY25: 2,882 tonnes), representing a yield of 3.0 tonnes per acre (FY25: 3.7 tonnes per acre). Chapel Down has access to 1,006 acres of vineyards of which 897 acres are fully productive, an increase of +51% productive vineyards since 2022. In line with the Board’s expectation, this year’s yield was 9% lower than the historic 5-year average yield of 3.3 tonnes per acre.
A late spring frost event in May caused modest damage to the limited areas affected. The warm, sunny growing season which followed supported a yield that was slightly above our historic 5-year average for the non-affected crops, however this only partially offset the lost crops due to frost. Approximately 2.5 million bottles of wine will be produced from this year’s harvest, with the largest proportion being Traditional Method Sparkling, our core strategic focus.
Details of the Placing and the Retail Offer
The Company is proposing to raise approximately £5.5 million (before expenses) by means of the Placing. Singer Capital Markets Securities Limited ("SCM Securities") is acting as sole bookrunner and broker in connection with the Placing and as Nominated Adviser to the Company.
The Placing will be effected by way of an accelerated bookbuild which will commence immediately following the release of this Announcement, in accordance with the terms and conditions set out in Appendix I. The number of Placing Shares to be issued at the Placing Price will be determined at the close of the Accelerated Bookbuild. The timing of the close of the Accelerated Bookbuild and allocation of the Placing Shares shall be at the absolute discretion of SCM Securities, in consultation with the Company. The result of the Placing will be announced as soon as practicable thereafter. The Placing is not being underwritten.
The Placing is conditional upon, inter alia, the Placing Agreement between the Company and SCM Securities not having been terminated in accordance with its terms, and Admission becoming effective. The Placing is not conditional on Shareholder approval and the Placing Shares will be issued pursuant to the Company's existing authorities to allot shares and disapply pre-emption rights.
The Company values its retail shareholder base and, accordingly, intends to provide new and existing holders based in the United Kingdom with the opportunity to subscribe for New Ordinary Shares in the Company via the Retail Offer at the same price as the Placing Shares, to raise up to approximately £0.5 million. A separate announcement will be made shortly regarding the Retail Offer and its terms, including the platform(s) through which it will be made available. The Retail Offer is expected to open on or around 4 November 2026 and to close on 9 November 2026. The Retail Offer is conditional upon the Placing becoming unconditional and Admission occurring, but the Placing is not conditional upon the completion of the Retail Offer. For the avoidance of doubt, the Retail Offer is not part of the Placing and this Announcement does not constitute an offer of securities to the public.
Director participation in the Placing

UK Product Governance Requirements
Solely for the purposes of the product governance requirements of Chapter 3 of the FCA Handbook Product Intervention and Product Governance Sourcebook (the “UK Product Governance Requirements”), and disclaiming all and any liability, whether arising in tort, contract or otherwise, which any “manufacturer” (for the purposes of the UK Product Governance Requirements) may otherwise have with respect thereto, the Placing Shares have been subject to a product approval process, which has determined that the Placing Shares are: (i) compatible with an end target market of retail investors and investors who meet the criteria of professional clients and eligible counterparties, each as defined in the FCA Handbook Conduct of Business Sourcebook (“COBS”); and (ii) eligible for distribution through all permitted distribution channels (the “Target Market Assessment”). Notwithstanding the Target Market Assessment, “distributors” (for the purposes of the UK Product Governance Requirements) should note that: the price of the Placing Shares may decline and investors could lose all or part of their investment; the Placing Shares offer no guaranteed income and no capital protection; and an investment in the Placing Shares is compatible only with investors who do not need a guaranteed income or capital protection, who (either alone or in conjunction with an appropriate financial or other adviser) are capable of evaluating the merits and risks of such an investment and who have sufficient resources to be able to bear any losses that may result therefrom. The Target Market Assessment is without prejudice to any contractual, legal or regulatory selling restrictions in relation to the Placing. Furthermore, it is noted that, notwithstanding the Target Market Assessment, SCM Securities will only procure investors who meet the criteria of professional clients and eligible counterparties.
For the avoidance of doubt, the Target Market Assessment does not constitute: (a) an assessment of suitability or appropriateness for the purposes of Chapters 9A or 10A respectively of COBS; or (b) a recommendation to any investor or group of investors to invest in, or purchase, or take any other action whatsoever with respect to the Placing Shares. Each distributor is responsible for undertaking its own target market assessment in respect of the Placing Shares and determining appropriate distribution channels.
EU Product Governance Requirements
Solely for the purposes of the product governance requirements contained within: (a) EU Directive 2014/65/EU on markets in financial instruments, as amended ("MiFID II"); (b) Articles 9 and 10 of Commission Delegated Directive (EU) 2017/593 supplementing MiFID II; and (c) local implementing measures (together, the "MiFID II Product Governance Requirements"), and disclaiming all and any liability, whether arising in tort, contract or otherwise, which any “manufacturer” (for the purposes of the MiFID II Product Governance Requirements) may otherwise have with respect thereto, the Placing Shares have been subject to a product approval process, which has determined that the Placing Shares are: (i) compatible with an end target market of retail investors and investors who meet the criteria of professional clients and eligible counterparties, each as defined in MiFID II; and (ii) eligible for distribution through all distribution channels as are permitted by MiFID II (the "EU Target Market Assessment"). Notwithstanding the EU Target Market Assessment, distributors should note that: the price of the Placing Shares may decline and investors could lose all or part of their investment; the Placing Shares offer no guaranteed income and no capital protection; and an investment in the Placing Shares is compatible only with investors who do not need a guaranteed income or capital protection, who (either alone or in conjunction with an appropriate financial or other adviser) are capable of evaluating the merits and risks of such an investment and who have sufficient resources to be able to bear any losses that may result therefrom. The EU Target Market Assessment is without prejudice to any contractual, legal or regulatory selling restrictions in relation to the Placing. Furthermore, it is noted that, notwithstanding the EU Target Market Assessment, SCM Securities will only procure investors who meet the criteria of professional clients and eligible counterparties.
For the avoidance of doubt, the EU Target Market Assessment does not constitute: (a) an assessment of suitability or appropriateness for the purposes of MiFID II; or (b) a recommendation to any investor or group of investors to invest in, or purchase or take any other action whatsoever with respect to the Placing Shares. Each distributor is responsible for undertaking its own target market assessment in respect of the Placing Shares and determining appropriate distribution channels.

Unless otherwise stated, capitalised terms in this Appendix have the meanings ascribed to them in Appendix II. The Company intends to make a separate offer of new Ordinary Shares to retail investors in the United Kingdom (the "Retail Offer"), details of which will be announced separately. The Retail Offer is a separate offer made on its own terms and conditions, which will be set out in that separate announcement and are not the terms and conditions set out in this Appendix. The Retail Offer is conditional upon the Placing becoming unconditional and Admission occurring. Release of the Retail Offer launch announcement is a condition of the Placing, but completion of the Retail Offer and its outcome are not conditions of the Placing. For the avoidance of doubt, Placing Shares are not Retail Offer Shares, and this Appendix does not govern participation in the Retail Offer.
This Announcement is for information only and does not itself constitute or form part of an offer to sell or issue or the solicitation of an offer to buy or subscribe for securities referred to herein in any jurisdiction including, without limitation, the United States, Australia, Canada, the Republic of South Africa, Japan (each a "Restricted Territory") or in any jurisdiction where such offer or solicitation is unlawful. The distribution of this Announcement and the Placing and/or the offer or sale of the Placing Shares in certain jurisdictions may be restricted by law. No action has been taken by the Company or by SCM Securities or any of its Affiliates, or any of its or their respective Representatives which would permit an offer of the Placing Shares or possession or distribution of this Announcement or any other offering or publicity material relating to such Placing Shares in any jurisdiction where action for that purpose is required. Persons distributing any part of this Announcement must satisfy themselves that it is lawful to do so. Persons (including, without limitation, nominees and trustees) who have a contractual or other legal obligation to forward a copy of this Announcement should seek appropriate advice before taking any such action. Persons into whose possession this Announcement comes are required by the Company and SCM Securities to inform themselves about, and to observe, any such restrictions.
All offers of the Placing Shares in the EEA and the United Kingdom will be made pursuant to an exemption under the Prospectus Regulation and the POATRS from the requirement to produce a prospectus. This Announcement is being distributed and communicated to persons in the UK only in circumstances to which section 21(1) of the Financial Services and Markets Act 2000, as amended ("FSMA") does not apply.
The Placing has not been approved and will not be approved or disapproved by the U.S. Securities and Exchange Commission, any State securities commission or any other regulatory authority in the United States, nor have any of the foregoing authorities passed upon or endorsed the merits of the Placing or the accuracy or adequacy of this Announcement. Any representation to the contrary is unlawful.
Subject to certain exceptions, the securities referred to in this Announcement may not be offered or sold in any Restricted Territory or in any jurisdiction where such offer or sale is unlawful or to, or for the account or benefit of, a citizen or resident, or a corporation, partnership or other entity created or organised in or under the laws of a Restricted Territory or in any jurisdiction where such offer or sale is unlawful.
This Announcement has been issued by, and is the sole responsibility of, the Company. No representation or warranty, express or implied, is or will be made as to, or in relation to, and no responsibility or liability is or will be accepted by SCM Securities or any of its Affiliates, nor any of its or their respective Representatives as to or in relation to, the accuracy or completeness of this Announcement or any other written or oral information made available to or publicly available to any party or its advisers, and any liability therefore is expressly disclaimed.
SCM Securities is acting exclusively for the Company and no-one else in connection with the Placing and is not, and will not be, responsible to anyone (including the Placees) other than the Company for providing the protections afforded to its clients nor for providing advice in relation to the Placing and/or any other matter referred to in this Announcement.
Neither the Company nor SCM Securities nor any of their respective Affiliates nor any of its or their respective Representatives makes any representation or warranty, express or implied to any Placees regarding any investment in the securities referred to in this Announcement under the laws applicable to such Placees.
By participating in the Placing, Placees (including individuals, funds or otherwise) by whom or on whose behalf a commitment to subscribe for Placing Shares has been given will be deemed (i) to have read and understood this Announcement, in its entirety and (ii) to be participating, making such offer on the terms and conditions contained in this Appendix; and (iii) to be providing (and shall only be permitted to participate in the Placing on the basis that they have provided) the representations, warranties, indemnities, acknowledgements, agreements and undertakings contained in this Appendix.
In particular, each such Placee represents, warrants, undertakes, agrees and acknowledges (amongst other things) that:
IMPORTANT INFORMATION FOR PLACEES ONLY REGARDING THE PLACING
Accelerated Bookbuild
Following this Announcement, SCM Securities will commence an Accelerated Bookbuild in respect of the Placing to determine demand for participation in the Placing by Placees. The book will open with immediate effect following release of this Announcement. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares.
SCM Securities and the Company shall be entitled to effect the Placing by such alternative method to the Accelerated Bookbuild as they may, in their sole discretion, determine.
Details of the Placing Agreement and the Placing Shares
SCM Securities is acting as placing agent in connection with the Placing. SCM Securities has entered into a placing agreement (the “Placing Agreement”) with the Company under which, on the terms and subject to the conditions set out in the Placing Agreement, SCM Securities, as agent for and on behalf of the Company, has agreed to use its reasonable endeavours to procure Placees for the Placing Shares at 43 pence per Placing Share (the "Placing Price"). The number of Placing Shares will be determined following completion of the Accelerated Bookbuild and set out in a term sheet to be entered into between SCM Securities and the Company (the "Term Sheet"). In conducting the Placing, SCM Securities will consult with the Company regarding the process, identity of Placees and allocation strategy. The number of Placing Shares will be announced as soon as practicable after the close of the Accelerated Bookbuild and execution of the Term Sheet.
The total number of shares to be issued pursuant to the Placing shall not exceed 12,790,697 Ordinary Shares and will be issued pursuant to the Company’s existing shareholder authorities.
In accordance with the terms and subject to the conditions in the Placing Agreement, the Placing is not underwritten and in the event that subscribers are not obtained for all or any of the Placing Shares (being the “Unplaced Shares”) or in the event of a default to make payment by any subscribers procured by SCM Securities, there will be no obligation on SCM Securities to subscribe for any Unplaced Shares or defaulted Placing Shares.
The Placing Shares will, when issued, be subject to the articles of association of the Company and credited as fully paid and will rank pari passu in all respects with the existing issued Ordinary Shares in the capital of the Company, including the right to receive all dividends and other distributions declared, made or paid in respect of such Ordinary Shares after the date of issue of the Placing Shares.
Applications for admission to trading on AIM
Application will be made to the London Stock Exchange for admission of the Placing Shares to trading on AIM (“Admission”).
It is expected that Admission will become effective at 8.00 a.m. on 10 November 2026 (or such later date as may be agreed in writing between the Company and SCM Securities, but in any event not later than 8.00 a.m. on 30 November 2026).
Participation in, and principal terms of, the Placing
Conditions of the Placing
The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms. SCM Securities' obligations under the Placing Agreement are conditional on (but not limited to) the following:
For the avoidance of doubt, release of the Retail Offer Launch Announcement is a condition of the Placing. The Retail Offer is conditional upon Admission occurring, but completion of the Retail Offer and its outcome are not conditions of the Placing. Failure of a condition relating solely to the Retail Offer, or termination solely in respect of the Retail Offer, will not affect the Placing.
If (i) any of the conditions set out in the Placing Agreement, including those described above, in relation to the Placing are not fulfilled or waived by SCM Securities by the respective time or date where specified (or such later time or date as the Company and SCM Securities may agree, save that such time shall not be extended beyond 8.00 a.m. on the Long Stop Date); (ii) any of such conditions becomes incapable of being fulfilled; or (iii) the Placing Agreement is terminated in the circumstances specified below, the Placing will lapse and the Placee's rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by the Placee against either the Company or SCM Securities in respect thereof.
SCM Securities may, in its absolute discretion and upon such terms as it thinks fit, waive fulfilment of all or any of the conditions in the Placing Agreement in whole or in part, or extend the time provided for fulfilment of one or more conditions, save that certain conditions including the condition relating to Admission may not be waived and the time for fulfilment of the conditions shall not be extended beyond 8.00 a.m. on the Long Stop Date. Any such extension or waiver will not affect Placees' commitments as set out in this Announcement. SCM Securities may terminate the Placing Agreement in certain circumstances, details of which are set out below.
Neither SCM Securities nor any of its Affiliates nor any of its or their respective Representatives shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision any of them may make as to whether or not to waive or to extend the time and/or date for the satisfaction of any condition to the Placing nor for any decision any of them may make as to the satisfaction of any condition or in respect of the Placing generally and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of SCM Securities.
By participating in the Accelerated Bookbuild, each Placee agrees that its rights and obligations cease and terminate only in the circumstances described above and under "Termination of the Placing" below and will not be capable of rescission or termination by it.
Termination of the Placing
SCM Securities is entitled to terminate the Placing Agreement in accordance with its terms in certain circumstances, including, inter alia, if at any time before Admission in the opinion of SCM Securities (acting in good faith):
(i) any statement contained in this Announcement or the Placing Agreement or the documents relating to the Retail Offer is incorrect or has become or been discovered to be untrue, inaccurate in any material respect or misleading, or that there has been a material omission therefrom; or
(ii) there has been a failure by the Company to perform any of its material obligations contained in the Placing Agreement, or any of the warranties was, when given, or is not, or has ceased to be, true, accurate or not misleading in any material respect;
(iii) there has occurred a Material Adverse Change (as defined in the Placing Agreement) whether or not foreseeable at the date of the Placing Agreement;
(iv) there has occurred any change, or development involving a prospective change, in national or international, military, diplomatic, monetary, economic, political, financial, industrial or market conditions or exchange rates or exchange controls, or any incident of terrorism or outbreak or escalation of hostilities, any declaration by the UK or the US of a national emergency or war or any other calamity or crisis, a suspension or material disruption of trading in securities generally on the London Stock Exchange or New York Stock Exchange or generally on any major financial market, or a banking moratorium or material disruption to commercial banking or securities settlement or clearance services in the US or the UK, which, in the opinion of SCM Securities (acting in good faith), would or would be likely to prejudice materially the Company or the Placing or makes the success of the Placing doubtful or makes it impractical or inadvisable to proceed with the Placing; or
(v) there has occurred a suspension or cancellation by the London Stock Exchange of trading in the Company's securities; or
(vi) the appointment of SCM Securities as agent of the Company is terminated for whatever reason; or
(vii) a matter, fact, circumstance or event has arisen such that in the opinion of SCM Securities, acting in good faith, a supplementary announcement is required to be published.
By participating in the Placing, each Placee agrees that its rights and obligations terminate only in the circumstances described above and under the "Conditions of the Placing" section above and will not be capable of rescission or termination by it after oral confirmation by SCM Securities following the close of the Accelerated Bookbuild.
By participating in the Accelerated Bookbuild, each Placee agrees with the Company and SCM Securities that the exercise by the Company or SCM Securities of any right of termination or any other right or other discretion under the Placing Agreement shall be within the absolute discretion of the Company or SCM Securities or for agreement between the Company and SCM Securities (as the case may be) and that neither the Company nor SCM Securities need make any reference to, or undertake any consultation with, Placees and that neither they nor any of their respective Affiliates’, agents, directors, officers or employees shall have any liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise) whatsoever in connection with any such exercise. For the avoidance of doubt, the Placing and the rights and obligations of Placees under this Appendix are not conditional upon, and will not be affected by, the Retail Offer or any non-fulfilment of conditions relating solely to the Retail Offer.
No prospectus
The Placing Shares are being offered to a limited number of specifically invited persons only and will not be offered in such a way as to require any prospectus or other offering document to be published. No prospectus or other offering document has been or will be submitted to be approved by the FCA in relation to the Placing or the Placing Shares and Placees' commitments will be made solely on the basis of publicly available information taken together with the information contained in this Announcement, and any exchange information (as defined below) previously published by or on behalf of the Company simultaneously with or prior to the date of this Announcement and subject to any further terms set forth in the contract note sent to individual Placees.
Each Placee, by participating in the Placing, agrees that the content of this Announcement and the publicly available information released by or on behalf of the Company is exclusively the responsibility of the Company and confirms to SCM Securities and the Company that it has neither received nor relied on any other information, representation, warranty, or statement made by or on behalf of the Company (other than publicly available information) or SCM Securities or its Affiliates or any other person and none of SCM Securities or the Company, or any of their respective Affiliates or any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received (regardless of whether or not such information, representation, warranty or statement was given or made by or on behalf of any such persons). Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the Company in accepting a participation in the Placing. No Placee should consider any information in this Announcement to be legal, tax or business advice. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation.
Lock-up
The Company has undertaken to SCM Securities that, between the date of the Placing Agreement and 90 days after the date of Admission, it will not, without the prior written consent of SCM Securities, allot or issue, or enter into any agreement or arrangement giving rise to an obligation or increased obligation (whether contingent or otherwise) to allot or issue, any share in its capital, save for the allotment and issue of Ordinary Shares pursuant to the Placing and the Retail Offer and the grant or exercise of options pursuant to the option schemes, agreements and arrangements disclosed in this Announcement, the Company’s audited accounts for the year ended 31 December 2025 or otherwise by Regulatory Information Service before the date of the Placing Agreement.
By participating in the Placing, Placees agree that the exercise by SCM Securities of any power to grant consent to waive the undertaking by the Company of a transaction which would otherwise be subject to the lock-up under the Placing Agreement shall be within the absolute discretion of SCM Securities and that it need not make any reference to, or consult with, Placees and that it shall have no liability to Placees whatsoever in connection with any such exercise of the power to grant consent.
Registration and settlement
Settlement of transactions in the Placing Shares (ISIN: GB0032706284 ) following Admission will take place within the relevant system administered by Euroclear ("CREST"), using the delivery versus payment mechanism, subject to certain exceptions. Subject to certain exceptions, SCM Securities and the Company reserve the right to require settlement for, and delivery of, the Placing Shares to Placees by such other means that they deem necessary if delivery or settlement is not practicable in CREST within the timetable set out in this Announcement or would not be consistent with the regulatory requirements in the Placee's jurisdiction.
Following the close of the Accelerated Bookbuild for the Placing, each Placee allocated Placing Shares in the Placing will be sent a contract note stating the number of Placing Shares to be allocated to it at the Placing Price, the aggregate amount owed by such Placee to SCM Securities and settlement instructions. Placees should settle against CREST ID: NNQAN. It is expected that such contract note will be dispatched on or around 6 November 2026 and that this will also be the trade date.
Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with either the standing CREST or certificated settlement instructions that it has in place with SCM Securities. The Company will deliver the Placing Shares to a CREST account operated by SCM Securities as agent for the Company and SCM Securities will enter its delivery (DEL) instruction into the CREST system. SCM Securities will hold any Placing Shares delivered to this account as nominee for the Placees. The input to CREST by a Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment. It is expected that settlement will be on 10 November 2026 on a T+2 basis in accordance with the instructions given to SCM Securities.
Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above prevailing SONIA as determined by SCM Securities.
Each Placee agrees that, if it does not comply with these obligations, SCM Securities may sell any or all of their Placing Shares on their behalf and retain from the proceeds, for the Company's own account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the Placing Price and for any stamp duty or stamp duty reserve tax (together with any interest or penalties) which may arise upon the sale of its Placing Shares on its behalf. By communicating a bid for Placing Shares, each Placee confers on SCM Securities all such authorities and powers necessary to carry out any such transaction and agrees to ratify and confirm all actions which SCM Securities lawfully takes on such Placee's behalf.
If Placing Shares are to be delivered to a custodian or settlement agent, Placees must ensure that, upon receipt, the conditional contract note is copied and delivered immediately to the relevant person within that organisation. Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to United Kingdom stamp duty or stamp duty reserve tax. If there are any circumstances in which any other stamp duty or stamp duty reserve tax (and/or any interest, fines or penalties relating thereto) is payable in respect of the allocation, allotment, issue or delivery of the Placing Shares (or for the avoidance of doubt if any stamp duty or stamp duty reserve tax is payable in connection with any subsequent transfer of or agreement to transfer Placing Shares), neither SCM Securities nor the Company shall be responsible for the payment thereof. Placees will not be entitled to receive any fee or commission in connection with the Placing.
Representations and warranties
By participating in the Accelerated Bookbuild, each Placee (and any person acting on such Placee's behalf) irrevocably acknowledges, confirms, undertakes, represents, warrants and agrees (for itself and for any such prospective Placee) with SCM Securities (in its capacity as sole bookrunner and placing agent of the Company in respect of the Placing) and the Company, in each case as a fundamental term of its application for Placing Shares, the following that:
The foregoing acknowledgements, agreements, undertakings, representations, warranties and confirmations are given for the benefit of the Company as well as SCM Securities (for its own benefit and, where relevant, the benefit of its Affiliates and any person acting on its behalf) and are irrevocable. Each Placee, and any person acting on behalf of a Placee, acknowledges that neither SCM Securities nor the Company owes any fiduciary or other duties to any Placee in respect of any representations, warranties, undertakings or indemnities in the Placing Agreement.
No claim shall be made against the Company or SCM Securities or any of their respective Affiliates or any person acting on their behalf by a Placee to recover any damage, cost, loss, charge or expense which it may suffer or incur by reason of or arising from or in connection with the performance of its obligations hereunder or otherwise howsoever in connection with the Placing or Admission.
Please also note that the agreement to allot and issue Placing Shares to Placees (or the persons for whom Placees are contracting as nominee or agent) free of stamp duty and stamp duty reserve tax relates only to their allotment and issue to Placees, or such persons as they nominate as their agents, direct from the Company for the Placing Shares in question. Neither the Company nor SCM Securities will be responsible for any UK stamp duty or UK stamp duty reserve tax (including any interest and penalties relating thereto) arising in relation to the Placing Shares in any other circumstances.
Such agreement is subject to the representations, warranties and further terms above and also assumes, and is based on a warranty from each Placee, that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to issue or transfer the Placing Shares into a clearance service. Neither SCM Securities nor the Company is liable to bear any stamp duty or stamp duty reserve tax or any other similar duties or taxes ("transfer taxes") that arise (i) if there are any such arrangements (or if any such arrangements arise subsequent to the acquisition by Placees of Placing Shares) or (ii) on a sale of Placing Shares, or (iii) for transfer taxes arising otherwise than under the laws of the United Kingdom. Each Placee to whom (or on behalf of whom, or in respect of the person for whom it is participating in the Placing as an agent or nominee) the allocation, allotment, issue or delivery of Placing Shares has given rise to such transfer taxes undertakes to pay such transfer taxes forthwith, and agrees to indemnify on an after-tax basis and hold SCM Securities and/or the Company and their respective Affiliates harmless from any such transfer taxes, and all interest, fines or penalties in relation to such transfer taxes. Each Placee should, therefore, take its own advice as to whether any such transfer tax liability arises.
Each Placee and any person acting on behalf of each Placee acknowledges and agrees that SCM Securities or any of its Affiliates may, at its absolute discretion, agree to become a Placee in respect of some or all of the Placing Shares. Each Placee acknowledges and is aware that SCM Securities is receiving a fee in connection with its role in respect of the Placing as detailed in the Placing Agreement.
When a Placee or person acting on behalf of the Placee is dealing with SCM Securities, any money held in an account with SCM Securities on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the rules and regulations of the FCA made under the FSMA. The Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence, this money will not be segregated from SCM Securities' money in accordance with the client money rules and will be used by SCM Securities in the course of its own business; and the Placee will rank only as a general creditor of SCM Securities.
All times and dates in this Announcement may be subject to amendment by SCM Securities (in its absolute discretion). SCM Securities shall notify the Placees and any person acting on behalf of the Placees of any changes.
Time shall be of the essence as regards obligations pursuant to this Announcement.
No statement in this Announcement is intended to be a profit forecast or estimate, and no statement in this Announcement should be interpreted to mean that earnings per share of the Company for the current or future financial years would necessarily match or exceed the historical published earnings per share of the Company.
The price of shares and any income expected from them may go down as well as up and investors may not get back the full amount invested upon disposal of the shares. Past performance is no guide to future performance and persons needing advice should consult an independent financial adviser.
The rights and remedies of SCM Securities and the Company under these terms and conditions are in addition to any rights and remedies which would otherwise be available to each of them and the exercise or partial exercise of one will not prevent the exercise of others.
Each Placee may be asked to disclose in writing or orally to SCM Securities:
(a) if they are an individual, their nationality; or
(b) if they are a discretionary fund manager, the jurisdiction in which the funds are managed or owned.
