MMCI shareholding update

As disclosed on 18 February 2026, Makilala Holding Limited ("MHL"), a wholly owned subsidiary of Celsius, has issued a formal notice to Sodor Inc. ("Sodor") regarding the contemplated relinquishment of its 60% shareholding in Makilala Mining Company, Inc. ("MMCI") pursuant to their governing agreements.

Sodor has acknowledged this notice and indicated its intent to cooperate in a potential facilitation of the shares. Currently, MHL and Sodor are engaged in preliminary coordination to ensure that any future transfer is structured in strict accordance with the regulatory and statutory requirements applicable to Philippine mining companies. No transfer of shares has been effectuated at this stage, and Celsius will provide further updates as this process matures in line with its continuous disclosure requirements.
