Change of Company Auditor

Celsius Resources Limited ("Celsius" or the "Company") (+ASX, AIM: CLA) announces that in accordance with Listing Rule 3.16.3, Grant Thornton Audit Pty Ltd has been appointed as auditor of the Company. The appointment follows the resignation of RSM Australia Partners (RSM) and the Australian Securities and Investments Commission's ("ASIC") consent to the resignation in accordance with s329(5) of the Corporations Act 2001 (the Act).

Pursuant to s329(8) of the Act and in accordance with Regulatory Guide 26 issued by ASIC, the resignation, and replacement appointment, take effect immediately.

The Board's decision to change auditors was made following a consultation process and have chosen Grant Thornton based on their reputation and experience. The Board of Directors would like to take this opportunity to thank RSM for their assistance and professional services to the Company.

In accordance with s327C of the Act, a resolution will be proposed at the Company's next Annual General Meeting to confirm the appointment of the Company's auditor.
