SHAREHOLDER UPDATE
SUPPORTING THE REQUEST BY THE GUERNSEY FINANCIAL SERVICES COMMISSION TO THE ROYAL COURT OF GUERNSEY FOR THE APPOINTMENT OF AN ADMINISTRATOR
RESIGNATION OF REMAINING MEMBERS OF THE BOARD AND MEMBERS OF THE MANAGEMENT TEAM
On 23 July 2026, the U.S. Department of State designated CEIBA as a blocked person pursuant to Executive Order (E.O.) 14404, which authorizes sanctions on persons determined to meet specified criteria related to Cuba. On the basis of General License number 2, issued by OFAC on 23 July 2026, third parties are authorized to wind down transactions involving CEIBA and its subsidiaries through 22 August 2026.
As from 23 July 2026 the Board and Management Team have worked diligently to inform all relevant parties of the designation and the wind-down period and have collaborated with the third parties in order to wind down relationships with CEIBA.
As from 24 July 2026, three CEIBA board members resigned from the Board, the London Stock Exchange temporarily suspended trading in CEIBA Shares and The International Stock Exchange ("TISE") suspended trading in the Bonds. This was followed by two further board resignations on 27 and 28 July 2026, and the resignation of CEIBA's administrator, corporate secretary and registered agent in Guernsey, NSM Funds Limited, on 6 August 2026. On 10 August 2026, TISE confirmed the immediate cancellation of the Bonds as listed security class. In addition, as a result of the SDN designation, banks, service providers and other external market intermediaries and business counterparties have terminated their relationships with the Company with the result that the Company is no longer able to carry out its functions.
As a consequence of the present situation in which the Company finds itself and in order to protect the stakeholders of the Company, the Guernsey Financial Services Commission (the "GFSC"), in consultation with the Company, has taken the decision to file a request to the Royal Court of Guernsey to nominate a court-appointed administrator for the Company who will, following appointment by the Court, de facto take over the control of the Company with a view to preserve its assets and take steps that could possibly lead to the cancellation by OFAC of the E.O. 14404 designation and removal of the Company from the list of Specially Designated Nationals upon which blocked persons appear. The request to the Royal Court of Guernsey was filed by the GFSC on 13 August 2026 and a Court hearing will take place today, 18 August 2026.

The Company is thankful for the continuous efforts made by the GFSC to safeguard the interest of the stakeholders of the Company and supports its request to the Royal Court of Guernsey to appoint an Administrator.
Resignation of the Members of the Executive Team and Closing of Havana Office
On 17 August 2026, as a result of the E.O. 14404 designation, all members of the Management Team, including the C.E.O., C.O.O. and C.F.O. of the Company, have permanently resigned from the Company with immediate effect.
In addition, the Company will close the Havana office of its wholly-owned subsidiary CEIBA Property Corporation Limited.
Resignation of the Members of the Board of Directors
As a result of the E.O. 14404 designation, Dena Bellamy, independent director and member of the Board of Directors and John A. Herring, Chairman of the Board of Directors, will resign today, 18 August 2026, following the Court hearing.
Suspension of Trading
Following the announcement issued by CEIBA on 24 July 2026, at the request of the Company trading of the Company's shares on the Specialist Fund Segment of the London Stock Exchange was temporarily suspended while the Board considered the impact on CEIBA of the E.O. 14404 designation.
Once appointed, the Administrator will consult with advisors, regulators and the London Stock Exchange to determine whether or the listing of the shares of the Company on the Specialist Fund Segment of the London Stock Exchange should be cancelled. In the meantime, the Company has requested that the temporary suspension of trading in its shares remains in place and an update will be made in due course.
