Grant of a performance share award and a restricted share award
under the Burberry Share Plan 2020
At the Company's Annual General Meeting on 15 July 2026, shareholders approved the Company's revised Directors' Remuneration Policy (the "Policy"). The Policy introduced a long-term incentive plan for the Executive Directors that integrates both performance-based elements ("PSP Awards") and restricted time-based elements ("RSP Awards"). In line with the revised Policy, the following awards have been made on 30 July 2026 to persons discharging managerial responsibilities ("PDMRs") under the Burberry Share Plan 2020 (the "BSP"). The PSP Awards and RSP Awards (together, "Awards") were structured as conditional share awards over ordinary shares of 0.05 pence each in the Company ("Shares"), carry dividend equivalent entitlements and were priced using a share price of 1,139.67 pence (being the average Share price for the period 27 to 29 July 2026 (the three business days prior to the Awards' grant date).

The Awards will be capable of vesting on 30 July 2029, three years after they were granted. The vested Shares will be subject to a two-year holding period so the minimum time before any sale of Shares (except to cover any tax liabilities or fees arising) may occur is five years from the grant date.
1. Vesting of the PSP Awards will be determined by the Remuneration Committee subject to (i) continued employment and (ii) assessment of performance measures based on revenue, Group return on invested capital (ROIC) and relative total shareholder return, with a one-third weighting on each measure and measured over the Company's three financial years 2026/27, 2027/28 and 2028/29).
2. Vesting of the RSP Awards will be determined by the Remuneration Committee subject to (i) continued employment and (ii) assessment of performance underpins based on revenue, ROIC and brand and sustainability strategies. If the Company does not meet one or more of the performance underpins over the vesting period, the Remuneration Committee would consider whether it was appropriate to scale back the level of pay-out under the RSP Award to reflect this.
