Share buyback programme
Bunzl plc ("Bunzl" and/or the "Company") has announced today that it will commence a share buyback programme to purchase ordinary shares for a consideration of up to £500 million, to be completed over the next 12 months. This programme is in line with the Company's capital allocation policy of distributing excess cash, whilst maintaining headroom for the continued prioritisation of high return bolt-on acquisitions.
The Company is commencing the first tranche of the programme today, to be completed no later than 22 December 2026. Under the first tranche, the Company will repurchase up to 32,421,142 of its ordinary shares for a maximum consideration of £250 million. The purpose of the programme is to reduce the issued share capital of the Company.
The first tranche of the programme will be carried out through an irrevocable non-discretionary agreement with J.P. Morgan Securities plc ("JPMS plc"), pursuant to which JPMS plc shall purchase ordinary shares on the London Stock Exchange (or another recognised investment exchange) as riskless principal (and not as agent of the Company) for the subsequent sale on to, and purchase by, the Company. JPMS plc will make its trading decisions in relation to the ordinary shares independently of, and uninfluenced by, the Company.
This arrangement is in accordance with Chapter 9 of the Financial Conduct Authority United Kingdom Listing Rules and the Company's general authority to repurchase shares.
