DIRECTOR SHAREHOLDING

The Company was notified on 30 September 2003 that on 29 September 2003 Mr M F
Broughton, a Director of British American Tobacco p.l.c., and Mrs J M Broughton
(a connected person) acquired 197 and 33 British American Tobacco p.l.c. 25p
ordinary shares (the "Shares") respectively at a price of 645p per Share as a
result of the reinvestment of dividends by their PEP Manager.



Following these transactions, Mr Broughton has a total beneficial and family
interest in 739,233 Shares (including 172,590 Deferred Shares).
