Succession Planning and Board Change
BRCK Group plc (AIM: BRCK), a leading construction materials distributor, announces that Non-Executive Chairman, John Richards, has notified the Board of his decision to step down following the conclusion of the 2027 Annual General Meeting after nine years in the position.
In addition, the Company is pleased to confirm that Susan McErlain, existing Independent Non-Executive Director, has been appointed as Senior Independent Director with immediate effect.
Chair Succession Planning
John Richards has led the Board of Directors for eight years since his appointment as Non-Executive Chairman in March 2018, and his decision to step down on conclusion of the 2027 AGM aligns with the Board succession plan and good corporate governance practice in stepping down after nine years on the Board.
Having led BRCK through its admission to trading on AIM in August 2019, the Group has grown under his stewardship both organically and through M&A activity, including through the then transformational acquisition of Taylor Maxwell in July 2021 and most recently by way of the earnings enhancing acquisition of Jacksons, a designer, manufacturer and installer of premium timber and steel fencing, gates and perimeter security systems. The Group's diversification strategy has been highly successful, creating a proven track record of financial delivery. This was most recently evidenced in the Company's full year trading update for the year ended 31 March 2026, where further growth was shown against challenging market conditions.
The Board has commenced a process to appoint a successor to John Richards with significant industry experience. In keeping with corporate governance best practice, the process will be led by the Senior Independent Director and the Non-Executive Directors. Further updates will be provided, as appropriate, in due course.
Appointment of Senior Independent Director
Susan McErlain has been promoted to serve as Senior Independent Director, after joining the Group in April 2022. Susan has had an executive career spanning over 30 years acting as a communications adviser for organisations operating across many sectors. She co-founded, grew and, in 2000, sold her investor and financial communications business. More recently, Susan acted as a Corporate Affairs Director for FTSE 250 company, Ultra Electronics plc until 2019. Since 2020 she has served as a non-executive director on several boards.
