Disposal of South Korean Interests

Bluebird Mining Ventures Ltd (LSE: BMV), the gold streaming, mining and treasury company, is pleased to announce the completion of the disposal of its South Korean interests.

As previously announced on 1 June 2026, the Board has been focused on repositioning Bluebird towards a gold streaming, mining and treasury business model while simplifying the Group's corporate structure and reducing future capital commitments associated with the development of mining assets.

The Company has now completed the disposal of its entire interest in the Gubong and Kochang projects in South Korea, together with associated funding obligations and liabilities, to 1575275 B.C. Ltd., a Canadian mining investment company. In consideration for the disposal, the Company has received a nominal cash sum and retained a 2.5% Net Smelter Return ("NSR") royalty over each of the Gubong and Kochang projects. The transaction also includes royalty buy-back rights in favour of 1575275 B.C. Ltd., exercisable for consideration of US$2.5 million in respect of each royalty.

Further details regarding the disposal and its accounting treatment will be included in the Company's interim financial statements for the period ended 30 June 2026.

Strategic Rationale

The Board believes the disposal strengthens the Group by:

·      Removing future funding commitments associated with the South Korean projects;

·      Simplifying the Group's corporate structure and reducing legacy complexity; and

·      Enabling management to focus capital and resources on the Group's gold streaming, mining and treasury strategy, whilst retaining exposure to potential future value creation from the projects through the retained royalty interests.

The transaction is consistent with the Company's objective of developing a capital-light royalty and streaming platform across mining and treasury assets. Whilst reducing direct exposure to the operational and capital requirements associated with project ownership and development, the Company retains exposure to future project success through its royalty interests.

The disposal follows the Company's previously announced disposal of its Philippine mining assets in exchange for a share of future net profits. The Board believes that royalty, streaming and profit-sharing structures provide shareholders with continued exposure to the mining sector whilst reducing the funding, development and execution risks typically associated with the ownership and operation of mining projects.
