Sale of shares following the vesting and exercise of options under the Bloomsbury Publishing Plc 2023 Executive Share Plan (“2023 ESP”)

 

The Company announced on 2 September 2026 that the conditional share award granted in August 2023 under the 2023 ESP vested at 86.2% of the maximum on 29 August 2026.

Nigel Newton, Executive Chairman and PDMR, acquired 138,045 ordinary shares of 1.25 pence in the Company (“Ordinary Shares”) (comprising 128,769 vested 2023 ESP shares and 9,276 dividend equivalent shares, both for nil consideration). Jenny Ridout, Global Managing Director, Academic & Professional Division and PDMR, acquired 33,080 Ordinary Shares (comprising 30,858 vested 2023 ESP shares and 2,222 dividend equivalent shares, both for nil consideration).

Over a period to 4 September 2026, Mr Newton and Ms Ridout sold 62,125 and 15,549 Ordinary Shares respectively at a share price of £6.2508 per share in order to fund the tax liabilities and administrative fees arising on vesting. Mr Newton and Ms Ridout retained the balance of 75,920 and 17,531 Ordinary Shares respectively.
