Board Changes

Blencowe Resources plc (LSE: BRES) announces the following Board changes, strengthening governance and executive accountability.

Cameron Pearce has offered his resignation as Executive Chairman and as a director of the Company with immediate effect and the Company has accepted. The Board thanks Cameron for his contribution to the Company since its inception.

Sam Quinn, currently a Non-Executive Director, has been appointed Non-Executive Chairman, with immediate effect. Iain Wearing, the Company's Interim Chief Executive Officer, has been appointed to the Board as an Executive Director, also with immediate effect.

The Chairman's role becomes non-executive, focused on Board oversight and governance rather than the day-to-day running of the business, while the Chief Executive now sits on the Board and is directly accountable to it. Together, these changes provide clearer separation between Board oversight and executive delivery as the Company advances Orom-Cross towards construction.

Iain Wearing, Executive Director and Interim Chief Executive Officer

Iain was appointed Interim Chief Executive Officer on 21 September 2026, having previously served as Chief Operating Officer. He has led the technical and operational development of the Company's 100%-owned Orom-Cross Graphite Project in Uganda, including through the Definitive Feasibility Study process, and was the JORC Competent Person for the Ore Reserve estimation reported in November 2025.

A mining engineer with over 40 years' experience in the resources industry, Iain brings extensive expertise in African mining projects, technical study management, operational planning and project development with Rio Tinto, Barrick, Anaconda/Glencore and Resolute.

His appointment strengthens the link between the Board and executive management as Blencowe progresses project funding, commercial arrangements and preparations for construction at Orom-Cross.

Mr Wearing is interested in 13,491,666 ordinary shares in the Company, representing approximately 2.69% of the Company's issued share capital.

Sam Quinn, Non-Executive Chairman

Sam Quinn is a corporate lawyer with extensive experience in the natural resources sector and has served on the Board as a Non-Executive Director since its inception. As Non-Executive Chairman, he will lead the Board and oversee its governance and strategic direction, working closely with Iain and the wider management team.

Mr Quinn is interested in 10,083,333 ordinary shares in the Company, representing approximately 2.02% of the Company's issued share capital.
