Confirmation of Board Change, Issue of Shares, PDMR Dealing and Total Voting Rights

 

Big Technologies plc (AIM: BIG), a leading provider of electronic monitoring solutions, confirms, further to the Company's announcement on 29 June 2026 regarding the resignation of Ian Johnson as Director and CEO of the Company, that this resignation takes effect as at today, 31 July 2026, as planned.

Ian's responsibilities as CEO transferred to Charles Lewinton in June 2026 and Ian has provided hand over support since. The Company, with assistance from the Nomination Committee are undertaking a formal process to find a permanent CEO and will provide further information as required.

The Board would like to repeat its thanks to Ian for his efforts over the past 16 months and wish him well for the future.

 

Issue of Shares and PDMR Dealing

The Company further announces that it has issued 1,187,796 new ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") to Charles Lewinton, acting Chief Executive Officer ("New Shares") in consideration for the transfer to the Company of Charles Lewinton's remaining A Ordinary Shares in Buddi Limited.

The issue of the New Shares in exchange for A Ordinary Shares in Buddi Limited represents the third and final tranche of exchanges of Charles Lewinton's A shares in Buddi Limited for Ordinary Shares in the Company under the Buddi Limited Growth Share Plan (the "Share Exchanges") (as set out in paragraph 13.5 of Part V of the Big Technologies Admission Document dated 26 July 2021).

 

Admission and Total Voting Rights

Application has been made for the new Ordinary Shares to be admitted to AIM, with the admission date expected to be 5 August 2026. On admission, the shares will rank pari passu in all respects with the existing Ordinary Shares of the Company.

The Company's total issued share capital following admission will comprise of 302,132,109 Ordinary Shares with each share carrying the right to one vote. The Company currently holds 5,000,000 shares in treasury meaning the total voting rights in the Company will be 297,132,109. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Big Technologies under the FCA's Disclosure Guidance and Transparency Rules.
