Clarification of Press Commentary

 

Beximco Pharmaceuticals PLC. ("the Company"; AIM Symbol: BXP, LEI No.: 213800IMBBD6TIOQGB56), the fast-growing manufacturer of generic pharmaceutical products and active pharmaceutical ingredients, provides clarification to some press reports that appeared in Bangladesh media on 15 September 2026 suggesting that Salman F Rahman has agreed to resign from the Beximco Pharmaceuticals Board and step down as Vice-Chairman as the Company reconstitutes the Board.

 

These press reports relate to the hearing of Writ Petition No. 525 of 2025 (challenging the proposed appointment by the Bangladesh Securities and Exchange Commission (“BSEC”) of nine additional independent non-executive directors to the Company's Board) and Writ Petition No. 1243 of 2026 (challenging the BSEC's order to hold a Board Meeting onboarding the nine additional independent directors) which, further to previous announcements, are continuing in the High Court Division of the Supreme Court of Bangladesh.

 

As part of its discussions with BSEC to settle these cases, the Company can confirm that it has proposed potential changes to the composition of its Board including the potential resignation of Salman F Rahman as Vice-Chairman. These proposals are under discussion at this stage and are subject to final agreement by the Company and BSEC, in addition to successful completion, by the Company’s Nominated Adviser, of any due diligence checks, on any proposed new directors, in compliance with the AIM Rules for Companies.
