Further advanced subscription agreements to raise approximately £150,000

 

Beacon Rise (LSE: BRS), is pleased to announce that the Company has entered into advanced subscription agreements (the "ASAs") with new and existing investors to raise gross proceeds of approximately £150,000 (the "ASA Funds").

 

It is intended that the net proceeds raised will be used towards a portion of the transaction fees associated with the Proposed Acquisitions and Admission, as well as being applied towards the Company's working capital commitments.

 

To date, the Company has raised total gross proceeds of approximately £350,000 in ASA Funds which are pending completion.

 

Further information in relation to the ASAs

 

Pursuant to the terms and conditions of the ASAs, the Company has conditionally agreed to issue to the ASA subscribers new ordinary shares of £0.0001 each in the Company ("Ordinary Shares") at a 10 per cent. discount to the issue price of any new Ordinary Shares issued pursuant to any equity fundraise that takes place contemporaneously with Admission. If Admission has not occurred by 28 August 2026, the ASA subscribers will receive new Ordinary Shares at a price of £1.80 per new Ordinary Share.

 

Certain of the ASAs are intended to constitute a qualifying advance subscription agreement for the purpose of the Enterprise Investment Scheme (EIS).

 

Unless otherwise defined, definitions contained in this announcement have the same meaning as those set out in the announcement released by the Company at 8:11 a.m. on 29 September 2025.
