AMENDMENT
The issuer has made the following amendments to the 'Directors' Interest'
announcement released on 15 August 2000 at 14:27 under RNS No 4883P.
NOTIFICATION OF INTEREST: COMPANIES ACT 1985 s.329
Barclays PLC made an announcement on 15 August 2000 regarding certain
transactions in the Barclays Group (PSP & ESOS) Employees' Benefit Trust
following receipt of a notification from the independent trustee. Barclays
PLC received on 15 August 2000 a further notification identifying the
following errors in the earlier notification.
On 10 August 2000 the trust released 3,484 ordinary shares in Barclays PLC to
participants who exercised their awards under the Barclays Group Performance
Share Plan ('PSP'), not 2,903 ordinary shares as previously advised; and
On 14 August 2000 the trust released 7,195 ordinary shares in Barclays PLC to
participants who exercised their awards under the Barclays Group Performance
Share Plan ('PSP'), not 7,427 ordinary shares as previously advised.
The trust is a discretionary trust for the benefit of employees and former
employees (and their families) of Barclays Bank PLC and its subsidiaries.
None of the above transactions were in respect of awards made to any director
of Barclays PLC.
Following the amendments to the transactions, the trustees of all the Barclays
Group employees' benefit trusts hold a total of 7,602,269 shares in Barclays
PLC in which the following directors of Barclays PLC have an interest as
potential beneficiaries: Sir Peter Middleton, Mr M W Barrett, Mr D P Allvey,
Sir Andrew Large, Mr C J Lendrum and Mr J S Varley.
