Exercise Of Options and Total Voting Rights

 B.P. Marsh & Partners Plc (AIM: BPM), the specialist private equity investor in early-stage financial services businesses, announces that a number of company employees (the “Employees”) including Daniel Topping, Francesca Chapell and Alice Foulk (each of whom is a person discharging managerial responsibilities (“PDMR”)), have received ordinary shares of 10 pence each in the Company (the “Ordinary Shares”), following the exercise today of 835,249 share options awarded under Share Option Plan established on 6 September 2023 (the “Share Options”).

The exercise of the Share Options has been satisfied through the transfer of 835,249 Ordinary Shares held by the Company in treasury and no new Ordinary Shares have been issued.

Each of the Employees intends to subsequently sell a sufficient number of Ordinary Shares to satisfy their respective tax liabilities and other costs arising on exercise. The Company intends to repurchase these Ordinary Shares back for the benefit of the Company’s treasury. Such repurchase would be made outside of the Company’s Share Buyback Programme announced on 15 July 2026.

The Company will make a further announcement as appropriate following the repurchase of these Ordinary Shares.

Total Voting Rights

The Company’s total issued share capital is 37,100,000 Ordinary Shares. Following the transfer of 835,249 Ordinary Shares from treasury to the Employees, the Company now holds 479,239 Ordinary Shares in treasury. Therefore, the total number of voting rights in the company is 36,620,761.

The above figure of 36,620,761 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
