RE-APPOINTMENT OF INDEPENDENT DIRECTORS AND NON EXECUTIVE (PART-TIME) CHAIRMAN OF AXIS BANK LIMITED ("BANK").

 

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that based on the recommendations of the Nomination and Remuneration Committee, the Board of Directors of the Bank at its meeting held today i.e. Saturday, April 25, 2026 has approved the following:

 

a)    Reappointment of N. S. Vishwanathan (DIN: 09568559) as an Independent Director of the Bank for second term of four years, with effect from May 30, 2027 up to May 29, 2031 (both days inclusive), subject to approval of the members of the Bank.

b)    Reappointment of N. S. Vishwanathan (DIN: 09568559) as a NonExecutive (Parttime) Chairman of the Bank for a further period of three years with effect from October 27, 2026 till October 26, 2029 (both days inclusive), subject to approval of the members of the Bank and Reserve Bank of India.

c)    Reappointment of P. N. Prasad (DIN: 07430506) as an Independent Director of the Bank for second term of four years with effect from October 20, 2026 up to October 19, 2030 (both days inclusive), subject to approval of the members of the Bank.

 

Please note that N. S. Vishwanathan and P. N. Prasad are not debarred from holding the office of Director by virtue of any order of SEBI or any other statutory authority.

 

The details required pursuant to SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed as Annexure A.

 

The brief profile for both the directors is enclosed as Annexure B.

 

The meeting commenced at 9.00 am (IST) and concluded at 4:30 pm (IST).

N. S. Vishwanathan

 

N. S. Vishwanathan, age 67 years, has been a career Central Banker. He joined the Reserve Bank of India in 1981 as a Direct Recruit Officer and rose through the rank and retired as Deputy Governor in March 2020.

 

He has varied experience as a central banker including handling administrative functions for RBI. As the Deputy Governor, he has handled the Banking, non-banking and cooperative banking regulation, governance, internal control, risk management functions and human resource management of RBI and enforcement.

 

During his illustrious career, he handled the role of Director - Supervision Bank of Mauritius (Central Bank of Mauritius) and acted as the Chief Vigilance Officer and Head of Internal Audit, Industrial Financial Corporation of India. He was also a member of the Board of Securities and Exchange Board of India between July 2016 till March 2020.

 

He holds a master's degree in economics and a bachelor's degree in arts from Bangalore University and has completed advanced leadership programme from Judge Business School, Cambridge University, UK.

 

P. N. Prasad

 

P. N. Prasad, age 65 years, is a professional banker with more than 37 years of experience. He joined State Bank of India (SBI) on December 9, 1983 as Probationary Officer and retired as the Deputy Managing Director of SBI on May 31, 2020. At the time of superannuation, he was heading the Commercial Clients Group, the Corporate Banking Vertical of State Bank of India. He was also heading the Project Finance & Structuring SBU of the Bank, the only such SBU focused on project and infrastructure finance among all the banks in India.

 

At SBI, he has handled leadership roles for more than 25 years in multiple fields of banking with specialization in core commercial banking, risk management, corporate banking - project finance & structuring, stressed asset management and resolution, strategy & business planning, client relationship, trade finance operations, alternative investments, international banking, audit and compliance, human resource development, treasury management, agriculture and rural economy and small scale industries.

 

He holds Master's degree in Science and is a Certified Associate of Indian Institute of Bankers.
